Zydus Worldwide DMCC, a subsidiary of Zydus Lifesciences Limited, has entered into a definitive agreement to acquire all outstanding shares of Assertio Holdings, Inc. for $23.50 per share in cash, valuing the deal at approximately $166.4 million. The transaction is structured as a tender offer followed by a second-step merger at the same price and is expected to close in the second quarter of 2026 (2026–27 financial year in some reports), subject to customary conditions.
Zydus Lifesciences Limited has completed purchase agreements with Agenus Inc. to acquire Agenus' biologics manufacturing facilities and operations in Emeryville and Berkeley, California, and has established a U.S. CDMO subsidiary, Zylidac Bio LLC, to operate the assets. The deal includes exclusive manufacturing arrangements for Agenus' Phase 3 immuno-oncology candidates (botensilimab and balstilimab), exclusive commercialization rights for those assets in India and Sri Lanka, and an equity investment in Agenus via Zynext Ventures; regulatory approvals including CFIUS clearance were secured.
Zydus Lifesciences Limited entered into exclusive negotiations to buy a controlling 85.6% stake in Amplitude Surgical, valuing the block at €256.8 million (€6.25 per share), from PAI Partners and certain minority shareholders. After regulatory conditions were fulfilled, the 85.6% stake was completed, and Zydus will file (and then conduct) a simplified mandatory tender offer for the remaining shares at the same €6.25 price, followed by a squeeze-out to delist.
