Merck Acquires Pandion Therapeutics

Merck will acquire Pandion Therapeutics for $60 per share in cash, representing an approximate total equity value of $1.85 billion, via a tender offer and subsequent merger. Pandion is a clinical-stage biotechnology company focused on precision immune modulators (TALON platform) with lead candidate PT101 targeting regulatory T cells for autoimmune diseases; the transaction is expected to close in the first half of 2021 subject to customary conditions.

OMNIA Partners Acquires Non‑Healthcare Members from Capstone Health Alliance and Yankee Alliance

TPG and AmerisourceBergen Acquire OneOncology from General Atlantic

TPG has agreed to acquire a majority interest in OneOncology and AmerisourceBergen will take a roughly 35% minority stake for approximately $685 million, valuing OneOncology at $2.1 billion. OneOncology's affiliated practices, physicians, and management will retain minority ownership as the parties form a new joint venture; the network includes over 900 affiliated providers across 14 states and the deal is expected to close by the end of September 2023.
