Lafayette Instrument, a portfolio company of Branford Castle Partners, has acquired Aurora Scientific, a Canada-based manufacturer of instrumentation and software for muscle physiology and neuroscience research. The bolt-on strengthens Lafayette’s life-science instrumentation offering and expands its product range into skeletal muscle physiology for universities and research institutions.

Bausch Health Acquires DURECT Corporation

Bausch Health Companies Inc. completed a tender offer to acquire DURECT Corporation for $1.75 per share in cash (approximately $63 million upfront), plus up to $350 million in potential net sales milestone payments. The acquisition brings DURECT’s lead asset, larsucosterol — an FDA Breakthrough Therapy candidate for alcohol-associated hepatitis with a Phase 3 program planned — into Bausch Health’s hepatology pipeline; DURECT will become a wholly owned subsidiary and its Nasdaq shares will be delisted.

Branford Castle Partners Acquires Lafayette Instrument Company

Branford Castle Partners' affiliate has purchased Lafayette Instrument Company, the Lafayette, Indiana-based manufacturer of polygraph systems and neuroscience research instruments. Brookside Capital Partners provided mezzanine debt and an equity co-investment to support the transaction while Byline Sponsor Finance (Byline Bank) provided senior debt; CEO Jennifer Rider and existing management are reinvesting and will remain with the company.

Brookside Capital Partners provided subordinated debt and minority equity to support Lafayette in the bolt-on acquisition; terms were not disclosed.

Ingersoll Rand Acquires Dosatron International

Ingersoll Rand Inc. has acquired Dosatron International L.L.C. and Dilution Solutions L.L.C. for an all-cash upfront purchase price of approximately $90 million plus up to $15 million in potential future consideration. The Clearwater, Florida–based dosing pump and fluid-dosing systems business (about 45 employees) will join Ingersoll Rand's Precision and Science Technologies segment, expanding the company's digital and IIoT-enabled capabilities into controlled environment agriculture, hydroponics, horticulture, animal health, food safety and water treatment.

OTC Industrial Technologies Acquires ePUMPS

OTC Industrial Technologies has acquired ePUMPS, a Tulsa-based provider of pumps, mechanical seals, vacuum systems and compressors, which will operate under OTC's Pump Motor Technology (PMT) Group. The deal expands OTC's territory coverage and service capabilities in the South Central U.S.; ePUMPS has 28 employees and three locations serving Oklahoma and the Texas Panhandle.
