Columbia Care Completes Acquisition of CannAscend

Columbia Care Inc. completed its acquisition of Ohio-based CannAscend, the owner and operator of four dispensaries in Dayton, Logan, Marietta and Monroe, effective July 1. The transaction (originally structured as a purchase option agreement in 2018) will be settled with $14.2 million paid from escrow and will consolidate CannAscend into Columbia Care's Ohio operations, strengthening the company's vertically integrated footprint in the state.

Curaleaf Acquires Deseret Wellness

Curaleaf Holdings, Inc. agreed to acquire Deseret Wellness in a cash-and-stock transaction valued at approximately US$20 million. The deal adds three medical cannabis dispensaries in Park City, Provo and Payson (combined annualized revenue ~$14 million), expanding Curaleaf’s Utah retail footprint to four dispensaries and its nationwide store count to about 150.

PharmaCann Acquires LivWell Enlightened Health

PharmaCann Inc. has completed its previously announced acquisition of LivWell Holdings, Inc., combining the two vertically integrated cannabis operators into a platform with over 50 dispensaries and 10 cultivation/production facilities across eight U.S. states. The transaction expands PharmaCann's presence into Colorado and Michigan; LivWell founder and CEO John Lord will join the PharmaCann board.

TerrAscend Acquires Hempaid, LLC (d/b/a Blue Ridge Wellness)

TerrAscend Corp. entered into a definitive agreement to acquire Hempaid, LLC (d/b/a Blue Ridge Wellness), a medical dispensary in Parkville, Maryland, for US$6.75 million (including US$3.0 million cash and a seller's note). The acquisition expands TerrAscend's Maryland retail footprint to three dispensaries ahead of the state's adult-use launch on July 1, 2023 and is expected to be immediately accretive to EBITDA and cash flow.

Jushi Holdings Inc. Acquires OhiGrow (Ohio Growers)

Jushi Holdings Inc. signed a definitive agreement to acquire OhiGrow, LLC and Ohio Green Grow LLC, two licensed Ohio cultivators, for $5.0 million in cash. The acquisition (subject to regulatory approvals) gives Jushi a ~10,000 sq. ft. cultivation facility in Toledo to supply biomass to its Ohio processing operations and advance vertical integration in the Ohio medical cannabis market.

Ayr Wellness Acquires Herbal Remedies Dispensaries, LLC

Ayr Wellness Inc. agreed to acquire 100% of Herbal Remedies Dispensaries, LLC, an operator of two licensed retail cannabis dispensaries in Quincy, Illinois, for total consideration of $30 million (comprised of $10 million in stock, $12 million in seller notes and $8 million in cash). The acquisition adds roughly 50 employees, expands Ayr into its eighth state (Illinois), is expected to close in Q4 2021 and is subject to customary regulatory approvals.
