XPEL Acquires Five North American Paint-Protection and Window-Film Businesses

(Nasdaq: XPEL) acquired five businesses in the United States and Canada — Shadow Shield, Shadow Tint, North 1 Technologies (FilmWraps), One Armor and Tint Net — for a combined purchase price of approximately $20.1 million. The acquisitions expand XPEL’s installer and distribution footprint in Canada and Arizona and add software/patterning capabilities (FilmWraps), with the combined businesses contributing roughly $17.0 million in annual revenue on a pro forma basis.

XPEL Acquires Assets of Its Exclusive China Distributor

The acquired business has approximately $45–50 million in annual revenue and is expected to add about $13–18 million of pro‑forma revenue; the purchase was funded with cash, deferred payments and contingent consideration to accelerate XPEL's direct go‑to‑market strategy in China and pursue OEM/4S opportunities.

The Protech Group Acquires MF Paints Inc.

Montreal-based The Protech Group has acquired 100% of MF Paints Inc., a Laval, Quebec manufacturer and distributor of architectural paints and stains, with the transaction effective October 7, 2023. Protech said it will leverage its purchasing, technical and manufacturing capabilities to expand MF Paints' product offerings and strengthen its presence in the Canadian retail and commercial building paints market; the Morello family and MF Paints shareholders sold the company.

XPEL Acquires U.K.-based invisiFRAME Ltd.

(Nasdaq: XPEL) has acquired invisiFRAME Ltd., a United Kingdom-based maker of custom bicycle frame protection kits that sells direct-to-consumer and to bicycle shops across the UK, Europe, Australia and the U.S. The acquisition is expected to add roughly $2.7 million in incremental annual revenue and allow XPEL to leverage its global dealer and installer network to expand reach into the bicycle protection market.

RealTruck Acquires Protex

DXP Enterprises Acquires Pro-Seal, Inc.

The deal (signed March 1, 2024) expands DXP's geographic footprint in the Great Lakes region and Alaska and is expected to be accretive to earnings; Pro-Seal reported approximately $19.9 million in trailing twelve-month sales and $1.5 million adjusted EBITDA.
