Amentum Merges with Jacobs' Critical Mission Solutions and Cyber & Intelligence Businesses

Jacobs completed the spin-off of its Critical Mission Solutions and Cyber & Intelligence government services businesses and merged them with Amentum Parent Holdings LLC to form independent, publicly traded Amentum Holdings, Inc. Amentum began trading on the NYSE as AMTM and the transaction leaves Jacobs focused on its remaining data and next-generation digital technologies businesses while creating a scaled government services company.

Amentum Holdings LLC Acquires DynCorp International

Amentum Holdings LLC agreed to acquire DynCorp International in a definitive transaction announced Sept. 24, 2020, creating one of the largest providers of mission-critical government support services with roughly $6 billion in combined revenue. The deal, which closed Nov. 23, 2020, expands Amentum's capabilities and market access in aviation support, contractor logistics, intelligence solutions and training, and combines the companies' workforces to about 34,000 employees globally.

Amentum Acquires PAE Incorporated

Amentum has completed its all-cash acquisition of PAE Incorporated for approximately $1.9 billion (including assumed debt and fees), combining the two government services contractors to create a more diversified provider with over $9 billion of combined revenue. The deal expands Amentum's capabilities in intelligence, cyber, synthetic training, sensor-based technologies, space operations, environmental solutions, and mission support, and brings PAE's ~20,000 employees into Amentum's organization.

Lockheed Martin Acquires Amentum's Rapid Solutions Portfolio

The transaction was backed by Renovus Capital Partners and will have Veterans Engineering operate as a wholly owned subsidiary of Aretum as part of the firm's continued platform growth and capability expansion.
