A syndicate of global investors led by Snapdragon Capital Partners, with financing provided by funds managed by Strategic Value Partners (SVP), has acquired Better Being Co. HGGC has sold its remaining stake and exited the business after an eight-year partnership; the new investors committed a financial reserve to support near-term acquisitions to expand Better Being's brand portfolio and global reach. Better Being, a vertically integrated manufacturer and marketer of dietary supplements and personal care brands (including Solaray and Zhou Nutrition), is headquartered in Utah and employs nearly one thousand people.

Catalent Acquires Bettera Brands from Highlander Partners for $1 Billion

Catalent, Inc. agreed to acquire Bettera Holdings, LLC (Bettera Brands) from Highlander Partners for $1 billion. The acquisition expands Catalent's consumer health and nutraceutical manufacturing capabilities—adding Bettera's gummy, soft chew, and lozenge production capacity and approximately 500 employees across four U.S. facilities.

BevCanna Enterprises Acquires Naturally Pure Therapy Products Corp.

BevCanna Enterprises Inc. entered into a share exchange agreement to acquire Naturally Pure Therapy Products Corp., a direct-to-consumer e-commerce retailer of natural health, nutraceutical and hemp-based CBD products. BevCanna will issue 30,000,000 common shares (deemed $0.20 per share; total deemed consideration C$6,000,000) in exchange for all issued and outstanding securities of Pure Therapy, providing BevCanna with an established e-commerce platform, ~22,000 customers and recurring subscription revenue to support launch and expansion of hemp-based CBD beverages into North America and Western Europe.

Harmony Biosciences Acquires Zynerba Pharmaceuticals

Harmony Biosciences Holdings, Inc. agreed to acquire Zynerba Pharmaceuticals, Inc. in a cash tender offer of $1.1059 per share (approximately $60 million) plus one contingent value right (CVR) per share for up to $140 million of milestone-based payments (total potential consideration up to $200 million). The transaction, unanimously approved by both boards, is expected to close in Q4 2023 and will add Zynerba’s synthetic transdermal cannabidiol candidate Zygel and related rare neuropsychiatric programs to Harmony’s pipeline.

Wisdom Natural Brands Acquires Drizzle Honey

The deal expands Wisdom's product offering into the high-growth honey category and enables U.S. distribution for Drizzle's products, which are currently sold in roughly 1,200 Canadian retail stores and online.
