IMI plc Acquires Adaptas Solutions from Ampersand Capital Partners for $271M

IMI plc has agreed to acquire Adaptas Solutions from Ampersand Capital Partners for $271 million in cash. Adaptas, a Palmer, Massachusetts-based manufacturer of mass spectrometry subsystems, fluidic modules and lab automation components with ~340 employees and projected 2021 revenues of about $80–83 million, will join IMI Precision Engineering to deepen IMI's life sciences product offering and OEM relationships.

Adaptas Solutions, a portfolio company of Ampersand Capital Partners, agreed to acquire L3Harris Technologies' Applied Kilovolts and Analytical Instrumentation business to expand its mass spectrometry component offering, add the CeraMAX product line and broaden its global manufacturing footprint (including Europe). Financial terms were not disclosed; the transaction was announced in February 2020 and expected to close mid-2020.

The deal expands Cadence's multiphysics and electronics cooling capabilities by integrating Future Facilities' digital-twin solutions with Cadence's existing thermal solver portfolio; terms were not disclosed and the acquisition is expected to be immaterial to near-term revenue.

Sterling Pharma Solutions Acquires ADC Biotechnology

Sterling Pharma Solutions, a GHO Capital portfolio CDMO, has acquired ADC Biotechnology (ADC Bio), a Deeside-based bioconjugation and ADC development services business. The deal adds ADC capabilities and a Deeside facility to Sterling’s international network and includes multi-million pound investment to grow bioconjugation, analytical and cGMP ADC manufacturing capabilities.
