Incyte has agreed to acquire Escient Pharmaceuticals for $750 million plus Escient's net cash, adding two first‑in‑class oral MRGPR antagonists (EP262 and EP547) to its inflammation and autoimmunity portfolio. The acquisition, subject to customary closing conditions and HSR clearance, expands Incyte's pipeline in dermatology, chronic urticaria and pruritus with expected closing in 3Q 2024.

ESAB Corporation Acquires Ohio Medical

ESAB Corporation (NYSE: ESAB) acquired Ohio Medical, LLC, a manufacturer of oxygen regulators and central gas systems, for $127 million in cash. The acquisition, purchased from a private investor group led by Tenex Capital Management, expands ESAB's medical gas control portfolio and is expected to be EPS accretive in the first year while providing cross-selling and global expansion opportunities.

Haemonetics Acquires Attune Medical

Haemonetics Corporation has agreed to acquire privately-held Attune Medical, the maker of the FDA-cleared ensoETM esophageal cooling device, for $160 million upfront plus contingent consideration. The acquisition will expand Haemonetics' electrophysiology and temperature-management capabilities and is expected to close in Haemonetics' fiscal 2025 first quarter.

Key Surgical Acquires Insitumed GmbH

PE GI Solutions (also referenced as Physicians Endoscopy), together with Ambulatory Center for Endoscopy, LLC (ACE) and in partnership with Holy Name Medical Center, acquired Hudson Bergen Endoscopy and Surgical Center, LLC (formerly Hudson Bergen Medical Center). The facility will become a second location for ACE, renamed Hudson Bergen Endoscopy and Surgical Center, and is expected to support over 4,000 procedures annually as part of the existing ASC platform expansion.

Integra LifeSciences Acquires Acclarent, Inc.

Integra LifeSciences Holdings Corporation has completed its acquisition of Acclarent, Inc., a maker of ear, nose and throat (ENT) surgical devices. The transaction expands Integra’s product portfolio into the ENT device segment, adding approximately $1 billion to the company’s total addressable market and providing scale through Acclarent’s commercial and R&D capabilities.
