Siemens Healthineers to Acquire Varian Medical Systems

Siemens Healthineers AG has agreed to acquire all shares of Varian Medical Systems, Inc. for USD 177.50 per share, valuing the deal at approximately USD 16.4 billion. The transaction, which aims to create an integrated cancer-care portfolio, is expected to close in H1 2021 subject to Varian shareholder and regulatory approvals.

NextGen Healthcare Acquires TSI Healthcare

NextGen Healthcare, Inc. agreed to acquire TSI Healthcare, a Chapel Hill, North Carolina-based value-added reseller of NextGen practice management and EHR solutions. The deal includes $68 million in cash upfront plus up to $22 million in earnout, is effective November 30, 2022, and is expected to add approximately $10–12 million of revenue in the remaining four months of fiscal 2023 while expanding NextGen’s presence in specialty physician markets.

New Charter Technologies Acquires Computer Transition Services (CTSI)

New Charter Technologies, backed by Palo Alto-based private equity firm Oval Partners, has acquired Computer Transition Services Inc. (CTSI), a security-focused managed IT services provider headquartered in Lubbock, Texas. The acquisition (financial terms not disclosed) expands New Charter's footprint into West Texas and Eastern New Mexico while keeping CTSI’s existing leadership in place to continue operations.

TPG and AmerisourceBergen Acquire OneOncology from General Atlantic

TPG has agreed to acquire a majority interest in OneOncology and AmerisourceBergen will take a roughly 35% minority stake for approximately $685 million, valuing OneOncology at $2.1 billion. OneOncology's affiliated practices, physicians, and management will retain minority ownership as the parties form a new joint venture; the network includes over 900 affiliated providers across 14 states and the deal is expected to close by the end of September 2023.

Evolent Health Acquires IPG from TPG Growth for $375M

Evolent Health agreed to acquire IPG, a provider of surgical cost management solutions for musculoskeletal conditions, from TPG Growth for $375 million in cash plus up to $87 million of contingent consideration. The IPG platform will be integrated into Evolent’s New Century Health business to expand the company's value-based specialty care capabilities and add new payer and ambulatory surgery center relationships; the deal is expected to be immediately accretive to adjusted EBITDA.

Varian (Siemens Healthineers) Acquires Aspekt Solutions from L2 Capital

The seller was L2 Capital, which realized its 2017 investment in the business; terms were not disclosed. The acquisition expands Varian's Advanced Oncology Solutions offerings and its ability to deliver customized clinical and operational support to oncology providers.
