Allwyn International AG and OPAP S.A. have approved a business combination through an all-share transaction that values the combined entity at an equity value of €16 billion. The resulting company will be renamed Allwyn and remain listed on the Athens Stock Exchange, with a planned re-domiciliation and multiple corporate steps expected to complete in the first half of 2026.

Allwyn AG has agreed to acquire the Camelot Lottery Solutions Group from the Ontario Teachers' Pension Plan Board. The Camelot LS Group, headquartered in Chicago and operator of the Illinois Lottery (through Camelot Illinois LLC) with a technology arm serving lotteries across Europe and North America, will become a wholly owned subsidiary of Allwyn as part of Allwyn's US expansion plans.

DraftKings Acquires Jackpocket for $750 Million

DraftKings has reached an agreement to acquire Jackpocket, the leading U.S. digital lottery app, for total consideration of approximately $750 million. The deal consideration is ~55% cash funded from DraftKings’ balance sheet and ~45% paid in DraftKings Class A common stock, subject to customary adjustments and a stock-price collar mechanism.

Viaplay Group Acquires Remaining 50% Stake in Allente Group

Viaplay Group, through a wholly owned subsidiary, agreed to acquire Telenor Communication II’s remaining 50% stake in Allente Group for SEK 1.1 billion, becoming the sole owner of Allente. The deal is expected to close in the second half of 2025, subject to regulatory approvals and financing conditions for a new SEK 1,726 million term loan facility.

Xalles Holdings Acquires Private Loyalty Club Inc.

Xalles Holdings Inc. (OTC: XALL) will acquire Private Loyalty Club Inc. (PLC) in a share-exchange agreement, making PLC a wholly owned subsidiary of Xalles Financial Services Inc. PLC is based in Tampa, Florida and operates premium membership programs (Private Wine Club and Private Beauty Club) serving restaurants and merchants; Xalles says the acquisition will integrate PLC offerings with its Global Savings Network and payment/membership technology. The transaction was expected to close by July 31, 2022.

Intralot S.A. Acquires Bally’s International Interactive Business

Intralot S.A. agreed to acquire Bally’s International Interactive (Bally’s International Interactive business) for an enterprise value of €2.7 billion in a cash-and-shares transaction. The consideration includes €1.53 billion cash plus €1.136 billion of newly issued Intralot shares. The deal was later completed, creating a global gaming technology and services company spanning lottery and digital online gaming, with Bally’s becoming Intralot’s majority shareholder.
