Directional Aviation’s OneSky Flight acquired Associated Aircraft Group (AAG), a New York–based helicopter operator and FAA part 145 repair station that operates Sikorsky S-76/S-92 aircraft. The transaction (advised by Seabury Securities) expands Directional Aviation/OneSky’s vertical flight capabilities and adds charter, fractional and MRO services in the Northeastern United States; reports indicate the business was sold by Sikorsky/Lockheed Martin interests.

AeroVironment Acquires BlueHalo for $4.1B

AeroVironment, Inc. completed an all-stock acquisition of BlueHalo LLC in a transaction valuing the deal at approximately $4.1 billion, creating a combined defense technology company operating as AV. The deal, in which Arlington Capital Partners sold BlueHalo, brings BlueHalo's space, directed energy, electronic warfare, cyber, and AI capabilities into AV to accelerate cross-domain integration and scale production for U.S. and allied defense customers.

Alliance Consumer Group Acquires HALO Operating Unit from ZAGG Inc.

Alliance Consumer Group has acquired substantially all assets of the HALO operating unit from ZAGG Inc., adding HALO's portable power stations, accessories and IP portfolio to ACG's product lineup. ACG will relocate HALO corporate operations from Salt Lake City, Utah to its Fort Worth, Texas headquarters while retaining HALO regional operations in Hartford, Connecticut; the deal expands ACG's consumer portable power capability and complements its existing outdoor and lifestyle brands.

Terms were not disclosed; the deal adds AOG's MRO capabilities (pneumatic, fuel, power generation, electromechanical, hydraulic, oxygen and galley components) to Aero Accessories' platform to accelerate capability and product offering expansion and strengthen customer relationships in the U.S. and internationally.

AviAlliance Acquires AGS Airports from Macquarie and Ferrovial

AviAlliance has agreed to acquire AGS Airports from Macquarie Asset Management (via Macquarie European Infrastructure Fund 4) and Ferrovial for an enterprise value of approximately £1.53 billion. The transaction transfers ownership of the airports serving Aberdeen, Glasgow and Southampton, and is expected to reach financial close by Q1 2025 subject to customary conditions and regulatory approvals.

The deal was structured as a new entity within the HDT portfolio to expand HDT's aircraft ground power and thermal management capabilities for military and commercial aviation programs, including support for F-35 and B-21 programs.
