Rogers Communications Acquires Shaw Communications

Rogers Communications agreed to acquire all outstanding Class A and Class B shares of Shaw Communications in a transaction valued at approximately $26 billion (including Shaw debt), paying $40.50 per share in cash (with a portion of consideration to the Shaw family in Rogers shares). The deal, supported by the Shaw family, is intended to create a national network, accelerate 5G rollout and drive significant investments and job creation in Western Canada.

National Bank of Canada entered into a definitive agreement to acquire all outstanding common shares of Canadian Western Bank in a share-exchange transaction valuing CWB at approximately $5.0 billion. The deal (exchange ratio 0.450 NB shares per CWB share) expands National Bank's footprint in Western Canada, is expected to close by the end of 2025 subject to shareholder and regulatory approvals, and is supported by an approximately $1.0 billion equity financing including a private placement to CDPQ.

Searchlight Capital and BCI to Acquire Consolidated Communications for $3.1 Billion

Affiliates of private equity firm Searchlight Capital Partners and British Columbia Investment Management Corporation (BCI) will acquire Consolidated Communications Holdings, Inc. in an all-cash transaction valuing the company at approximately $3.1 billion including assumed debt. The deal, which was approved by the Vermont Public Utility Commission and previously by Consolidated shareholders, will take the Mattoon, Illinois–based fiber and landline provider private to provide greater flexibility to execute its fiber expansion strategy, subject to remaining federal approvals.
