ESE Entertainment Acquires Bombee Americas

ESE Entertainment Inc. has acquired Bombee Americas, the North American arm of Bombee Event Production AB, in a share purchase agreement that transferred all outstanding shares of Bombee Americas to ESE. The deal includes cash payments and issued consideration shares, retains the Bombee Americas management team under service agreements, and is intended to strengthen ESE's production capabilities and North American presence in gaming and entertainment.

Enghouse Affiliate to Acquire SeaChange International's Product and Services Business

An affiliate of Enghouse Systems Limited has agreed to acquire substantially all of SeaChange International's product and services assets for $39 million (less SeaChange cash on closing). The asset sale, approved by SeaChange's board and supported by a large shareholder voting agreement, is expected to close in early May 2024 and will result in SeaChange retaining cash, cash equivalents and tax NOLs.

Atari SA Acquires Digital Eclipse

Atari SA has entered into an agreement to acquire Digital Eclipse, an Emeryville, California-based game development studio specializing in the digital restoration and preservation of classic video games. The purchase consideration includes an initial $6.5 million (US$4.0 million cash and US$2.5 million in newly issued Atari shares) plus an earn-out of up to $13.5 million payable over ten years; Digital Eclipse shareholders will hold approximately 4.6% of Atari following a reserved capital increase. The acquisition is intended to expand Atari's internal development capabilities and advance its retro-focused growth strategy.
