Gold Candle Ltd. Agrees to Acquire Fokus Mining Corporation

Gold Candle Ltd. has entered into a definitive arrangement to acquire Fokus Mining Corporation in an all-cash transaction valued at an implied equity value of about CAD 65 million. The deal will add Fokus’s inferred gold resources (about 1.4 million ounces) and roughly 15,988 hectares of land in Quebec’s Abitibi region, with closing expected in Q2 2026 subject to approvals.
