Shenandoah Telecommunications Company Acquires Horizon Telcom

Shenandoah Telecommunications Company (Shentel) acquired 100% of Horizon Telcom for $385 million ($305M cash and $80M in Shentel stock), a transaction announced Oct. 24, 2023 and completed April 1, 2024. The deal, which represented an exit for Novacap and included GCM Grosvenor exchanging its Horizon equity for Shentel shares, expands Shentel's commercial fiber footprint into Ohio and accelerates its Glo Fiber FTTH expansion.

Horizon (a Novacap-backed, Columbus, Ohio-based fiber operator) has acquired Infinity Fiber, LLC, adding roughly 450 route miles and expanding Horizon's footprint into Indiana. The deal augments Horizon's existing fiber infrastructure to provide direct connectivity between Chicago, South Bend and Indianapolis and to multiple Indiana data centers for carrier and enterprise customers.

Oak Hill Capital, through an entity formed by the firm, agreed to acquire Otelco Inc. for $11.75 per share (approximately $40.6 million equity purchase price) with an enterprise value of about $105.6 million. The deal, announced July 27, 2020, closed March 31, 2021; Oak Hill intends to accelerate Otelco’s fiber-to-the-premises deployment and combine Otelco with its fiber investments GoNetspeed and Lantek to expand fiber network capabilities and geographic reach.
