TELUS Corporation agreed to acquire all outstanding common shares of LifeWorks Inc. in a transaction valued at approximately C$2.9 billion including net debt. The deal (court-approved plan of arrangement) offers LifeWorks shareholders cash, share, or combination consideration and is intended to create a global leader in employer-focused digital and in-person health, wellbeing and mental-health services by combining TELUS Health and LifeWorks.

TELUS International has entered a definitive agreement to acquire WillowTree, a Charlottesville-based digital product consultancy, for a total enterprise value of US$1.225 billion. The acquisition, in which majority stakeholder Insignia Capital Group will sell its stake, expands TELUS International’s digital design and engineering capabilities, client roster and onshore/nearshore delivery footprint; the deal is expected to close in January 2023 subject to customary conditions.

WELL Health Acquires ExecHealth Inc.

WELL Health Technologies Corp. agreed to acquire all issued and outstanding shares of ExecHealth Inc., an Ottawa-based omni-channel provider of primary, corporate and executive health services. The deal consideration includes CA$6.52M cash, CA$4.21M in WELL common shares and a performance-based earn-out of up to CA$1.89M; the transaction expands WELL's clinical footprint into Ontario and its premium corporate/executive health offering.
