Inotiv Acquires Integrated Laboratory Systems (ILS)

Inotiv, Inc. (NASDAQ: NOTV) completed the acquisition of Integrated Laboratory Systems, LLC (ILS), a contract research organization based in Morrisville, North Carolina, from Sier Capital. The transaction consideration totaled $56.0 million (approximately $38.0 million cash and 429,118 Inotiv shares valued at $18.0 million); ILS reported roughly $20.0 million of revenue in 2021 and will be integrated to expand Inotiv's genetic toxicology, in vivo/in vitro toxicology, pathology, genomics, and computational toxicology capabilities.

Novo Integrated Sciences, through its wholly owned subsidiary Novo Healthnet Limited, completed the acquisition of Acenzia Inc., a Windsor, Ontario-based nutraceutical manufacturer and diagnostics developer. The all-share transaction closed on June 24, 2021 and is valued at $14,884,039; Novo said the purchase will give it direct control of development, manufacturing and distribution of wellness products and personalized diagnostics.

Novo Integrated Sciences (NASDAQ: NVOS) completed an all-share acquisition of PRO-DIP, LLC, a San Jose-based developer of a patent-pending oral pouch delivery system for nutraceutical and medicinal formulations. The transaction (valued at $755,385 or $3.98 per share) expands Novo's health-science IP portfolio and adds product capabilities and distribution relationships to support nutraceutical and medical product applications.

Novo Holdings Acquires Altasciences from Audax Private Equity

Novo Holdings has agreed to acquire Altasciences, a Laval, Canada–headquartered contract research and CDMO services provider, from Audax Private Equity. Altasciences— which operates six facilities across the U.S. and Canada and employs over 1,300 people—will remain led by CEO Chris Perkin and is expected to continue expanding domestically and internationally under Novo Holdings' ownership.
