Pono Capital Four, Inc. has entered into a definitive agreement to acquire BlackStar Orbital Technologies Corporation for $380 million. The consideration will be paid entirely in common stock, and BlackStar Orbital is expected to remain as a wholly owned subsidiary (with the Pono entity changing its name) ahead of a planned close in the first quarter of 2027.
