Proofpoint to Acquire Varonis for $6.3 Billion

Proofpoint, a Thoma Bravo portfolio company, agreed to acquire Varonis in an all-cash transaction valued at approximately $6.3 billion. The companies plan to combine Proofpoint’s human and agent cybersecurity capabilities with Varonis’ data and AI security platform; the deal is expected to close in the first half of 2027, subject to customary conditions.
