Bayou City Hemp Company, Inc., a Houston-based hemp processing and extraction company, has completed the acquisition of Leaf Life, Inc. (LeafLife Wellness), a Dallas-based CBD retail company that formulates, manufactures and distributes CBD-infused skincare, cosmetics and wellness products. The acquisition vertically integrates Bayou City Hemp’s supply chain—LeafLife will use Bayou City Hemp distillate and isolate—and expands the acquirer’s retail, white-label and online distribution capabilities; the deal is expected to be accretive to earnings.

High Tide Inc. Acquires 80% of NuLeaf Naturals

High Tide Inc. has agreed to acquire an 80% stake in Denver-based NuLeaf Naturals for US$31.24 million, with a three-year option to buy the remaining 20%. The deal strengthens High Tide's vertical integration and global CBD capabilities by adding NuLeaf's cGMP-certified manufacturing, vegan softgel technology and D2C e-commerce distribution.

Generation Hemp Acquires Halcyon Thruput, LLC for ~$5.1 Million

Generation Hemp, Inc. has signed definitive agreements to acquire 100% of the assets/ownership interest of Halcyon Thruput, LLC for approximately $5.1 million (paid $2.5M in restricted common stock and $2.6M in cash), with additional contingent consideration payable to the parent OZC Agriculture Ky, LP. Halcyon operates a 48,000 sq. ft. hemp post‑harvest facility in Hopkinsville, Kentucky (processing ~10,000 wet pounds/hour) and projects about $10 million revenue for calendar year 2020; the co‑founders will remain as employees under multi‑year agreements.

TerrAscend Acquires Hempaid, LLC (d/b/a Blue Ridge Wellness)

TerrAscend Corp. entered into a definitive agreement to acquire Hempaid, LLC (d/b/a Blue Ridge Wellness), a medical dispensary in Parkville, Maryland, for US$6.75 million (including US$3.0 million cash and a seller's note). The acquisition expands TerrAscend's Maryland retail footprint to three dispensaries ahead of the state's adult-use launch on July 1, 2023 and is expected to be immediately accretive to EBITDA and cash flow.

High Tide Inc. Acquires Bud Heaven (Livonit Foods Inc.)

High Tide Inc. agreed to acquire 100% of Livonit Foods Inc., which operates two Bud Heaven retail cannabis stores in Bracebridge, Ontario, for CAD$2.8 million paid in High Tide common shares. The acquisition expands High Tide's Canna Cabana footprint into Muskoka (cottage country), adding stores that generated CAD$4.7 million (annualized) and CAD$0.8 million adjusted EBITDA (annualized) for the three months ended Oct. 31, 2021; the deal is subject to customary regulatory approvals.
