Parsons Corporation has entered into a definitive agreement to acquire BlackSignal Technologies, LLC from Razor's Edge Management, LLC for $200 million in cash. The deal — expected to close in August 2024 — will integrate BlackSignal into Parsons' Defense & Intelligence business unit and expand Parsons' electronic warfare, cyber, and AI/ML-enabled signal processing capabilities for Department of Defense and Intelligence Community customers.

Penske Logistics Acquires Black Horse Carriers, Inc.

Penske Logistics has agreed to acquire Chicago-based trucking company Black Horse Carriers, Inc.; financial terms were not disclosed. The acquisition, expected to close December 31, 2020, will expand Penske’s dedicated contract carriage capabilities and integrate Black Horse’s fleet and operations (Black Horse operates ~2,000 vehicles and employs more than 4,000 people).

Parsons Corporation Acquires Braxton Science & Technology Group

Parsons Corporation completed the acquisition of Braxton Science & Technology Group for $300 million (reported as $258 million less the tax asset). Braxton, headquartered in Colorado Springs, Colorado, brings more than 370 employees and expands Parsons' capabilities in satellite operations, ground system automation, flight dynamics, and space cyber for defense and intelligence customers.

Parsons Acquires Altamira Technologies Corporation

Parsons Corporation has acquired Altamira Technologies Corporation in a cash transaction of $330 million with an additional $45 million earn-out, valuing the deal at up to $375 million. The acquisition brings Altamira’s ~600 engineering and cleared workforce and advanced capabilities in signals intelligence, AI/ML analytics, missile warning and space mission support into Parsons’ Defense & Intelligence business to expand the company’s SIGINT, cyber and space offerings for Department of Defense and Intelligence Community customers.

Parsons Corporation acquired Columbia, Maryland-based Sealing Technologies, Inc. in a transaction valued at up to $200 million (including $175 million cash at closing and a $25 million earn-out). The acquisition expands Parsons' defensive cyber, AI/ML, edge computing, and critical infrastructure protection capabilities and brings nearly 150 SealingTech employees (70% with security clearances) into Parsons' Defense & Intelligence unit.
