ICF to Acquire Creative Systems and Consulting

ICF (NASDAQ:ICFI) has entered into a definitive agreement to acquire Creative Systems and Consulting, a provider of IT modernization and digital transformation services for U.S. federal agencies. The deal adds Creative’s ~270-person team and platform expertise (Salesforce, Microsoft, ServiceNow) to ICF’s federal digital capabilities and is expected to be slightly accretive to GAAP EPS in 2022.

ICF Acquires SemanticBits

ICF (NASDAQ: ICFI) entered into a definitive agreement to acquire SemanticBits for $220 million, a transaction financed through ICF's existing credit facility and expected to close in mid-July 2022. SemanticBits, a Herndon, Virginia–based health IT and digital modernization services provider with about $135 million in 2022 revenue (approximately $115 million recurring in 2023) and a team of ~450, will expand ICF's federal health capabilities and addressable market including CMS.

CACI Acquires ID Technologies from The Acacia Group

CACI International acquired Ashburn, Virginia–based ID Technologies, a mid-tier provider of enterprise IT, CSfC-compliant cybersecurity products, and managed services to U.S. federal customers. The acquisition, which closed on December 29, 2021 for $225 million, expands CACI's secure network modernization, remote-access, and cloud/IaaS capabilities for defense, intelligence, and federal civilian markets.

Intermediate Capital Group (ICG) Acquires Iver from EQT Private Equity

Intermediate Capital Group plc (ICG) has agreed to acquire Iver Holding AB, a leading Nordic managed IT services provider, from EQT Private Equity (EQT Mid Market Europe fund). Iver, headquartered in Stockholm with more than 1,300 employees and strong multi-cloud, cybersecurity and IT outsourcing capabilities, was created by EQT through a merger and expanded via multiple add-ons; the transaction is expected to close in August 2021 for an undisclosed amount.

Bridgepoint Acquires Majority Stake in Inspired Thinking Group (Team ITG) from Equistone

Bridgepoint has acquired a majority stake in Inspired Thinking Group (Team ITG) from previous shareholder Equistone Partners Europe, with Equistone reinvesting as a minority shareholder. The investment will back Team ITG’s international expansion—particularly into the United States—and support scaling of its CanopyCloud martech platform alongside its creative and marketing services operations; Team ITG is headquartered in Birmingham, UK and employs over 1,000 people.

ITG Communications Acquires Advantage Utilities LLC

ITG Communications, a national provider of fulfillment, construction, and project management services to the cable, telecommunications, and utility industries, has acquired Advantage Utilities LLC, a New Hampshire–based fiber construction and maintenance company. The acquisition brings Advantage's ~85 W-2 employees and large subcontractor network into ITG, expanding ITG's Northeast footprint and customer partnerships across New England and the Mid-Atlantic.
