MidOcean Partners sold its majority stake in The Planet Group as part of the transaction; the combined company will expand ProPharma's global footprint and human capital services, creating a business with over 1,900 colleagues worldwide.

Planet Fitness Acquires Sunshine Fitness (114 Clubs)

Planet Fitness, Inc. agreed to acquire Sunshine Fitness Growth Holdings, LLC — a Planet Fitness franchisee operating 114 clubs in the Southeast U.S. — in a cash-and-stock transaction valued at $800 million, funded in part by a new securitization and available cash. The locations (in AL, FL, GA, NC and SC) were folded into Planet Fitness' company-owned portfolio, and Sunshine co-founder Shane McGuiness joined Planet Fitness to oversee the combined corporate club operations; the deal closed in February 2022.

KPS Capital Partners Acquires Sport Group

KPS Capital Partners, through a newly formed affiliate, signed a definitive agreement to acquire Sport Group TopCo GmbH (owner of AstroTurf, Polytan, Rekortan, Laykold and other brands) from funds advised by Equistone Partners Europe. Sport Group, headquartered in Burgheim, Germany, is a global designer, manufacturer and installer of artificial turf and polyurethane sports surfaces with more than 1,900 employees and operations across the Americas, EMEA and Asia-Pacific; KPS plans to support growth and operational initiatives and pursue a global acquisition strategy.

Rocket Lab USA, Inc. Acquires Planetary Systems Corporation

Rocket Lab USA, Inc. (Nasdaq: RKLB) completed the acquisition of Planetary Systems Corporation (PSC), a Maryland-based spacecraft separation systems and satellite dispenser manufacturer, for $42 million in cash plus 1,720,841 shares of common stock and a potential earnout of up to 956,023 additional shares. The deal (expected/closed in Q4 2021 per announcements) brings PSC's flight-proven separation hardware and its 25-person team into Rocket Lab's Space Systems division to expand Rocket Lab's end-to-end launch, spacecraft, and space-hardware capabilities.

UPSTACK Acquires Digital Planet Communications

As part of the deal Digital Planet leaders Shawn Schmidt, Brent Killen and Jonathan Watkins will join UPSTACK's advisory team to expand UPSTACK's service capabilities and customer support for SMB, midmarket and enterprise clients.
