DePuy Synthes, the orthopedics division of Johnson & Johnson MedTech, acquired Expanding Innovations, Inc., a commercial-stage medical technology company focused on expandable interbody cage systems for spine surgery. The acquisition adds proprietary non-screw-based expandable cage technology to strengthen DePuy Synthes’ spine implant portfolio in the lumbar fusion market.
Johnson & Johnson completed its acquisition of Abiomed through a tender offer and subsequent merger, for an upfront payment of $380.00 per share in cash (enterprise value ~ $16.6 billion), plus a non-tradeable contingent value right (CVR) up to $35.00 per share based on milestones. Abiomed will operate as a standalone business within Johnson & Johnson’s MedTech segment.
DePuy Synthes, the orthopaedics business of Johnson & Johnson, has acquired CrossRoads Extremity Systems, a Memphis-based designer and manufacturer of procedure-specific implants and instruments for foot and ankle surgery. The seller was HealthpointCapital (with long-time investor MB Venture Partners involved); HealthpointCapital had acquired a majority stake in CrossRoads in May 2019 and executed product and commercial expansion before the sale.
DePuy Synthes Companies has acquired Olive Medical Corporation, a Utah-based maker of high-definition visualization systems for minimally invasive surgery. The acquisition (financial terms undisclosed) adds arthroscopic visualization technology to DePuy Synthes' Mitek Sports Medicine portfolio and expands access to Olive Medical's solutions through DePuy Synthes' global distribution network.
