SNDL Inc. completed its acquisition of certain U.S. cannabis assets from Surterra Holdings and affiliates (collectively “Parallel”) through a strict foreclosure. The transaction gives SNDL assets in Florida, Texas, and Massachusetts (56 retail locations and three cultivation/manufacturing facilities), with indirect majority economic exposure via its Sunstream Bancorp joint venture.
SNDL Inc. completed the previously disclosed acquisition of The Valens Company Inc. in an all‑stock transaction valued at approximately CAD 138 million (plus assumption of a CAD 60 million term loan), issuing ~27.6 million SNDL shares to former Valens shareholders. The deal brings Valens' extraction, processing, manufacturing and lab capabilities into SNDL's vertically integrated cannabis platform and is expected to deliver cost synergies and expand SNDL's branded product offering and low‑cost manufacturing capacity.
Sundial Growers Inc. agreed to acquire all outstanding shares of Alcanna Inc. in an all-stock plan of arrangement valued at approximately C$346 million, giving Alcanna shareholders Sundial common shares. The deal expands Sundial's retail footprint into liquor (Alcanna operates 171 store locations) and increases its exposure to cannabis retail through Alcanna's interest in Nova Cannabis, with expected synergies and improved cash generation.
