Building Products Acquisitions in Massachusetts

Boise Cascade Company has completed its acquisition of Humphrey Company, Inc. (d/b/a Holden Humphrey), a two-step distributor of building materials based in Chicopee, Massachusetts. The deal expands Boise Cascade’s distribution partnerships and product offerings in the Northeast region.

Gerflor Group, through its Gerflor North America business, has acquired Matter Surfaces, a U.S. provider of entrance systems and architectural surface solutions headquartered in Stoughton, Massachusetts. Matter Surfaces will continue to operate as a standalone brand under Gerflor North America, with its current CEO and founding shareholders remaining engaged while leveraging Gerflor's broader resources to grow and scale in the U.S. commercial market.

Ferguson Enterprises has closed two bolt-on acquisitions: Independent Pipe & Supply Corp., a PVF and commercial plumbing distributor based in Canton, Massachusetts, and National Fire Equipment Ltd. and National Fire Fabrication Ltd., a Toronto-based fire protection products and fabrication business. The deals expand Ferguson's commercial plumbing and mechanical footprint in New England and strengthen its Fire & Fabrication capabilities and presence in Canada.

The Granite Group has acquired Salem Plumbing Supply, a multi-location plumbing and heating distributor in Massachusetts. The acquisition, for which terms were not disclosed, was advised on the sell-side by The Beringer Group and strengthens The Granite Group’s presence in eastern Massachusetts.

Bradford White Corporation has acquired Heat-flo, a manufacturer of stainless steel indirect water-heating and hydronic storage tanks, expanding Bradford White's portfolio of indirect water-heating solutions. Heat-flo will continue operating from its Uxbridge, Massachusetts facility and will be supported by Bradford White’s Laars Heating Systems subsidiary to accelerate product and market growth.

Metro Sign & Awning’s ownership group has purchased ViewPoint Sign & Awning, a Northborough, Massachusetts-based signage and awning manufacturer founded in 1996. The deal brings ViewPoint’s 35,000 sq. ft. fabrication capabilities and experienced team into Metro’s fold to expand manufacturing, installation, and service capacity across the New England market.

Beacon (Nasdaq: BECN) has completed the acquisition of Garvin Construction Products, a Medford, Massachusetts-based distributor of waterproofing and building envelope products with four additional locations in the Northeast. The acquisition expands Beacon’s waterproofing and building envelope capabilities and regional footprint as part of its Ambition 2025 growth plan.

Boise Cascade has agreed to acquire Brockway-Smith Company (BROSCO), a fifth-generation, family-owned wholesale distributor of doors and millwork, for $172 million plus customary closing adjustments. The acquisition — expected to close in early Q4 2023 subject to regulatory approvals — expands Boise Cascade’s millwork capabilities and Northeast distribution footprint (BROSCO operates distribution centers in Hatfield, MA and Portland, ME).

SiteOne Landscape Supply has completed the acquisition of Cape Cod Stone, a wholesale distributor of natural and manufactured hardscapes products based in Orleans, Massachusetts. The deal expands SiteOne's hardscapes offering and local presence in the Cape Cod market as part of the company's ongoing market expansion activity.

Outdoor Living Supply (OLS), a Trilantic North America–backed distribution platform for outdoor living products, has acquired Back Yard Living, an independent distributor and showroom of hardscape and outdoor living products based in Abington, Massachusetts. The deal expands OLS’s Northeast footprint and strengthens its outdoor appliance, accessories, and hardscape product categories as an add-on to its platform.

Builders FirstSource (NYSE: BLDR) has acquired National Lumber, the largest independent building materials supplier in New England. The acquisition adds 19 facilities and over 700 employees, bolstering Builders FirstSource's Northeast network and expanding its R&R and value‑added solutions capabilities.

Cook & Boardman Group LLC, a Littlejohn & Co.-backed distributor of commercial doors, frames and access control systems, has acquired Galeno and Associates, a South Easton, Massachusetts turnkey provider of doors, frames, hardware and Division 10 specialty products. The add-on expands Cook & Boardman’s footprint in the greater Boston market and strengthens its Northeast presence; terms were not disclosed.

Koopman Lumber Company, a family-owned Massachusetts building materials supplier, has acquired Fairhaven Lumber, LLC in Fairhaven, Massachusetts to expand its South Coast presence. The Fairhaven team will remain in place and the Fairhaven location becomes Koopman's tenth Massachusetts location; the purchase price was not disclosed.

Tecno Fast, a Chilean modular space manufacturer and lessor, has acquired Littleton, Massachusetts-based Triumph Modular, marking Tecno Fast's first entry into the North American market. Triumph will continue to operate under its existing name in the U.S., and the acquisition expands Tecno Fast's product lineup (including the Tiny Cabin) and geographic reach into education, life sciences, construction and industrial end markets.

Dunes Point Capital has agreed to sell the distribution business of Harvey Building Products to Lansing Building Products, with the transaction expected to close in Q2 2020. Simultaneously, Lansing agreed to sell a majority interest to Markel Corporation; Dunes Point Capital will retain Harvey's manufacturing business.

Adelphi Capital Partners has acquired Controlled Environment Structures (CES) with mezzanine financing provided by NewSpring Mezzanine to support the transaction. CES, a Taunton, Massachusetts-based provider of cold storage and controlled-environment construction and panel/door manufacturing, will be led by incoming CEO Don Roussinos as the company pursues growth in cold storage, cleanroom and related markets.

The Riverside Company has acquired ADA Solutions, a market leader in detectable warning surfaces and way-finding solutions for the visually impaired. The business will be integrated as an add-on to Riverside’s SureWerx platform to deepen its product offering and reach into the infrastructure and construction end markets; Golub Capital provided debt financing and Jones Day and Alvarez & Marsal supported the transaction.

Kele, Inc. acquired Control Consultants, Inc. (effective September 29, 2017), combining Kele's distribution scale with CCI's New England controls expertise while operating the brands separately. Richard Campbell (Kele) will serve as president and CEO of the combined company and John Donahue will continue as President of CCI; the deal expands Kele's product breadth and specialized services in building automation.
