Japan Tobacco Inc. (JT Group) acquired Vector Group Ltd. through a cash tender offer at $15.00 per share, representing approximately $2.4 billion of equity value. The transaction, effected by tender offer and a statutory merger (Vapor Merger Sub Inc.), makes Vector Group a wholly owned subsidiary of JT and expands JT’s presence and distribution network in the U.S. combustibles market.

Altria Group, Inc. has completed its acquisition of NJOY Holdings, Inc., adding the FDA-authorized NJOY ACE e-vapor product to its smoke-free portfolio. The transaction involved approximately $2.75 billion in cash funding (financed via a $2.0 billion term loan, commercial paper and available cash) and includes up to $500 million in contingent payments tied to regulatory outcomes. Altria said NJOY will be marketed by NJOY, LLC (a wholly owned subsidiary) and that NJOY results will be reported within its "All Other" category; the company updated 2023 adjusted diluted EPS guidance to reflect investments behind commercialization of ACE.

Vector Capital Acquires Bigtincan Holdings

Vector Capital, a San Francisco-based private equity firm, has acquired Bigtincan Holdings Limited for A$0.22 per share in cash, valuing the transaction at approximately A$183 million. Bigtincan — a Waltham, Massachusetts–headquartered provider of AI-driven sales and revenue enablement software — will operate as a private company with management, including CEO David Keane, expected to remain in place while Vector supports product innovation and revenue growth.
