Forge Global Holdings, Inc. completed its acquisition of Accuidity Capital Management in a simultaneous sign-and-close transaction. The deal (approximately $10.0 million cash plus 1.15 million newly issued Forge shares, with potential earn-out shares) expands Forge's investment management and wealth capabilities by integrating Accuidity's private-market strategies, funds and sourcing ecosystem into Forge's platform.

Sekisui Chemical Acquires AIM Aerospace from Liberty Hall for US$510 Million

Sekisui Chemical Co., Ltd. agreed to acquire AIM Aerospace from Liberty Hall Capital Partners for US$510 million in cash. AIM Aerospace, a Renton, Washington–based designer and manufacturer of advanced composite structures, engine components and thermoplastic aerospace technologies, becomes a wholly owned operating company of Sekisui to expand the acquirer's aerospace materials and manufacturing capabilities.

Mercury Systems Acquires Avalex Technologies Corporation

Mercury Systems, Inc. signed a definitive agreement to acquire Avalex Technologies Corporation, a Gulf Breeze, Florida-based provider of mission-critical avionics (rugged displays, communications management, digital video recorders, and warning systems). The all-cash asset purchase (subject to customary adjustments) is expected to be funded with cash on hand and the company's revolving credit facility; Avalex generated approximately $40 million of revenue for the year ended December 31, 2022 with ~25% adjusted EBITDA margins and the deal was expected to close in Mercury's fiscal Q2 2022 (subject to HSR clearance).

Fero International Inc. Acquires AVL Manufacturing Inc.

Fero International Inc. signed a letter of intent to acquire AVL Manufacturing Inc., a Hamilton, Ontario–based turnkey manufacturer of modular enclosures with a 30-year track record. The acquisition will secure AVL's manufacturing facilities and over 70 employees (including ~15 engineers) to help Fero scale production of its modular solutions; closing was anticipated in Q4 2021 subject to due diligence, financing and a definitive agreement.

Bridger Aerospace Acquires FMS Aerospace

Bridger Aerospace Group Holdings, Inc. (NASDAQ: BAER) has acquired FMS Aerospace, a Huntsville-based provider of airframe modification, integration, flight test and airworthiness certification services. The equity-only transaction has a total value of $20.6 million (including $17.51 million issued at close and up to $3.09 million contingent earn-out); FMS reported $10.3 million of revenue and $2.5 million of net income for the year ended December 31, 2023. Bridger said the deal brings engineering, modification and manufacturing capabilities in-house to support mission-critical air services, defense systems engineering and its Multi-Mission Aircraft program.

Aura Futures (Baird Capital-backed) Acquires Reflex Limited

Aura Futures, a Baird Capital–backed workspace technology provider, has acquired Reflex Limited, a Reading-based full-service audio-visual integrator established in 1983. Financial terms were not disclosed; the deal is an add-on to Aura’s platform intended to expand AV technical capabilities and deepen Aura’s footprint in higher education, corporate and public sector markets.
