Carlisle Companies Acquires Henry Company for $1.575 Billion

Carlisle Companies Incorporated (NYSE:CSL) has entered into a definitive agreement to acquire Henry Company, a provider of building envelope systems, from affiliates of American Securities LLC for $1.575 billion in cash. The acquisition expands Carlisle’s building envelope and energy-efficiency product portfolio, is expected to generate roughly $30 million of pre-tax cost synergies by 2025, and is immediately accretive to Carlisle’s adjusted EPS.

The business, headquartered in Calgary, Alberta with manufacturing operations in Canada and the U.S., expands Carlisle's EPS capabilities and geographic footprint and is expected to close in Q4 2024 (transaction announced as a sale by The Riverside Company / PFB).
