AAR Acquires 65% Controlling Interest in MRO Holdings

AAR entered into a definitive agreement to acquire a 65% controlling interest in MRO Holdings at an implied enterprise value of $4.0 billion, with the existing owners retaining a minority stake and AAR holding options to acquire the remainder. The transaction is expected to expand AAR’s aircraft maintenance capacity and strengthen its aviation aftermarket platform; closing is expected in AAR’s fiscal third quarter ending February 2027, subject to regulatory approvals and customary conditions.
