Avanos Medical has entered into a definitive all-cash agreement to be acquired by affiliates of American Industrial Partners (AIP) for an enterprise value of approximately $1.272 billion. Under the terms, Avanos stockholders will receive $25.00 per share, and the transaction is expected to close in the second half of 2026 subject to customary approvals. The deal has since closed, and Avanos became a private company with its shares ceasing to trade on the NYSE.

The purchase expands Avanos' RF product portfolio—adding Diros' Trident technology—to complement its COOLIEF cooled radiofrequency offering and strengthen its position in non-opioid, minimally invasive pain treatments.
