TowerBrook and CD&R Acquire R1 RCM for $8.9 Billion

Investment funds affiliated with TowerBrook Capital Partners and Clayton, Dubilier & Rice agreed to acquire all outstanding shares of R1 RCM Inc. in an all-cash transaction valuing the company at approximately $8.9 billion ($14.30 per share). The transaction will take R1 private to support continued investment in its revenue-cycle automation platform and expansion of intelligent automation and generative AI capabilities for healthcare providers.

KKR Acquires Chase Corporation for $1.3 Billion

KKR, through an affiliate of investment funds, agreed to acquire Chase Corporation for $127.50 per share in an all-cash transaction valued at approximately $1.3 billion (including assumed debt). The deal is focused on supporting Chase’s growth and innovation, including an employee equity ownership program after close. The acquisition was successfully completed, and Chase common stock ceased trading on the NYSE American.

DATA Communications Management Corp. Acquires R.R. Donnelley Canadian Operations (Moore Canada Corporation)

DATA Communications Management Corp. (DCM) completed the acquisition of the Canadian operations of R.R. Donnelley & Sons (operating as Moore Canada Corporation) for a cash purchase price of CAD 130.8 million. The deal expands DCM's footprint and capabilities in Canada, creating a pro forma business with estimated 2022 revenues of more than CAD 520 million and an enlarged enterprise customer base.

CD&R to Acquire Majority Stake in Roper Technologies' Industrial Businesses

Roper Technologies agreed to sell a majority stake in its industrial businesses (its entire Process Technologies segment and the industrial businesses within Measurement & Analytical Solutions) to affiliates of Clayton, Dubilier & Rice (CD&R) for approximately $2.6 billion in upfront pre-tax cash while retaining a 49% minority interest. The package—which includes Alpha, AMOT, CCC, Cornell, Dynisco, FTI, Hansen, Hardy, Logitech, Metrix, PAC, Roper Pump, Struers, Technolog, Uson and Viatran—generated about $940 million of revenue and $260 million of EBITDA in 2021; CD&R will operate the businesses as a standalone platform to pursue organic and inorganic growth.

Riley's retail distribution and assets under management.
