BioCryst Pharmaceuticals, Inc. completed its acquisition of Astria Therapeutics, Inc. to strengthen its leadership in hereditary angioedema (HAE) and support long-term growth. The deal adds navenibart, a late-stage long-acting plasma kallikrein inhibitor (Phase 3), and also brings Astria’s early-stage atopic dermatitis program STAR0310 (for strategic alternatives).

Innova Therapeutics Acquires Enci Therapeutics

Innova Therapeutics has completed the acquisition of Enci Therapeutics, adding Enci’s lead oncology program, IVT-8086, a first-in-class humanized monoclonal antibody targeting SFRP2, to its development pipeline. Financial terms were not disclosed; Innova said the program and associated IP (patents through at least 2042) will support development across multiple solid and hematologic cancers and a companion diagnostic is in development.

Eli Lilly Acquires Verve Therapeutics

Eli Lilly and Company completed the acquisition of Verve Therapeutics, a Boston-based clinical-stage developer of one-time gene-editing therapies for cardiovascular disease. Lilly said the deal will integrate Verve's genetic-medicine programs into its cardiometabolic research to advance potential lifelong cardiovascular risk–reduction treatments.

Incyte to Acquire Villaris Therapeutics and Auremolimab (VM6)

Incyte has entered into an agreement to acquire Villaris Therapeutics, a Medicxi-backed biopharmaceutical focused on vitiligo. Incyte will pay $70 million upfront and provide potential additional milestone payments of up to $1.36 billion for auremolimab (VM6), an anti-IL-15Rβ monoclonal antibody.

Vertex Pharmaceuticals Acquires ViaCyte for $320M

Vertex Pharmaceuticals agreed to acquire clinical-stage cell therapy company ViaCyte for $320 million in cash. The deal gives Vertex additional stem cell lines, IP and GMP manufacturing capabilities intended to accelerate its VX-880 and other cell replacement therapy programs for type 1 diabetes.

Merck & Co., Inc. Acquires VelosBio Inc.

Merck & Co., Inc. will acquire all outstanding shares of clinical-stage biopharmaceutical company VelosBio for $2.75 billion in cash. The acquisition adds VelosBio's lead investigational antibody-drug conjugate VLS-101 and ROR1-directed pipeline assets to Merck's oncology portfolio and is expected to close by the end of 2020, subject to customary conditions.
