Hologic Acquires Acessa Health for Approximately $80M

Hologic, Inc. has acquired Acessa Health Inc., a privately held maker of the Acessa ProVu minimally invasive system for treating uterine fibroids, for approximately $80 million in cash plus contingent payments. The tuck-in purchase expands Hologic's GYN surgical portfolio and leverages Hologic's commercial infrastructure to accelerate adoption of Acessa's technology.

Investor Consortium Acquires Majority Stake in HistoSonics at $2.25B Valuation

HistoSonics, a University of Michigan spin-out developer of the Edison Histotripsy System, sold a majority stake to a consortium led by K5 Global, Bezos Expeditions and Wellington Management in a transaction valuing the company at $2.25 billion. Other investors included Alpha JWC Ventures, Alpha Wave Ventures and Johnson & Johnson’s JJDC; proceeds will be used to accelerate clinical programs and expand the company’s indications and commercial rollout (CEO Mike Blue will become chairman).

Samsung Medison Acquires French Ultrasound AI Firm Sonio

Samsung Medison (part of Samsung) has completed a $92.4 million acquisition of Paris-based ultrasound AI company Sonio, acquiring 100% of the firm's shares after approval from the French Ministry of the Economy and Finance. Sonio — founded in 2020 and maker of FDA-cleared Sonio Detect for real-time fetal ultrasound guidance — will continue developing cross-vendor products while its AI capabilities are integrated into Samsung’s ultrasound roadmap.

Organon Acquires Alydia Health

Organon completed its acquisition of Alydia Health, a commercial-stage medical device company focused on preventing postpartum hemorrhage, for total consideration of $240 million (including up to $25 million in contingent milestones). The deal expands Organon’s portfolio into medical devices and leverages its global commercial footprint to broaden access to Alydia’s Jada System for maternal hemorrhage worldwide.

Medtronic Acquires SonarMed

Medtronic plc acquired SonarMed, a Purdue‑bred developer of the SonarMed airway monitoring system, in December 2020. The acquisition adds continuous acoustic airway monitoring technology for neonatal and pediatric ventilation to Medtronic's respiratory/medical surgical portfolio to help detect endotracheal tube obstruction and position in real time.

Hologic Acquires Endomag for $310M

Hologic, Inc. has signed a definitive agreement to acquire Endomagnetics Ltd (Endomag), a Cambridge, U.K.-based developer of breast surgery localization and lymphatic tracing technologies, for approximately $310 million. Endomag generated about $35 million in revenue in 2023; the deal is expected to be slightly dilutive to Hologic's non-GAAP EPS in fiscal 2024, break even in 2025 and be accretive thereafter, and remains subject to customary closing conditions and regulatory approvals.
