Hologic Acquires Endomag for $310M

Hologic, Inc. has signed a definitive agreement to acquire Endomagnetics Ltd (Endomag), a Cambridge, U.K.-based developer of breast surgery localization and lymphatic tracing technologies, for approximately $310 million. Endomag generated about $35 million in revenue in 2023; the deal is expected to be slightly dilutive to Hologic's non-GAAP EPS in fiscal 2024, break even in 2025 and be accretive thereafter, and remains subject to customary closing conditions and regulatory approvals.

The acquisition adds laparoscopic vessel sealing, dividing and dissecting devices (including pediatric-focused 3 mm and 5 mm tools) to Hologic’s Surgical portfolio, enabling capability expansion and broader commercialization into OB/GYN and hospital markets; Bolder was expected to generate about $10 million of product revenue in the calendar year.
