Boehringer Ingelheim Acquires Nerio Therapeutics

Boehringer Ingelheim agreed to acquire Nerio Therapeutics, a San Diego-based preclinical biotech focused on PTPN2/N1 phosphatase inhibitors for immuno-oncology, for up to $1.3 billion. Nerio was invested/incubated by Viva BioInnovator and backed by a syndicate including Avalon Ventures; the deal is intended to accelerate development of Nerio’s preclinical program as a cornerstone of Boehringer’s immuno-oncology portfolio.

AstraZeneca Acquires Icosavax

AstraZeneca has entered into a definitive agreement to acquire Icosavax, a Seattle-based clinical-stage biopharmaceutical company, in a cash tender offer valuing the deal at approximately $0.8bn upfront and up to $1.1bn including contingent payments. The acquisition brings Icosavax's virus‑like particle (VLP) platform and Phase III‑ready combination RSV/hMPV vaccine candidate IVX‑A12 into AstraZeneca's Vaccines & Immune Therapies late‑stage pipeline to strengthen respiratory vaccine capabilities for older adults and vulnerable populations.

AbbVie to Acquire ImmunoGen for $10.1 Billion

AbbVie entered into a definitive agreement to acquire ImmunoGen, including its flagship ADC therapy ELAHERE (mirvetuximab soravtansine-gynx), in a deal valued at approximately $10.1 billion. The transaction is expected to close in mid-2024, subject to ImmunoGen shareholder approval, regulatory approvals, and other customary closing conditions.

Vertex Pharmaceuticals Acquires ViaCyte for $320M

Vertex Pharmaceuticals agreed to acquire clinical-stage cell therapy company ViaCyte for $320 million in cash. The deal gives Vertex additional stem cell lines, IP and GMP manufacturing capabilities intended to accelerate its VX-880 and other cell replacement therapy programs for type 1 diabetes.

Nestlé Health Science / Société des Produits Nestlé S.A. to acquire Aimmune Therapeutics

Nestlé Health Science (NHSc), via a Nestlé S.A. acquisition subsidiary (Société des Produits Nestlé S.A.), agreed to acquire Aimmune Therapeutics for USD34.50 per share in cash, valuing the company at approximately USD2.6 billion. NHSc already owned ~25.6% of Aimmune; the tender offer is expected to close in Q4 2020 and will expand Nestlé's portfolio with Aimmune's FDA-approved peanut allergy therapy Palforzia.

Astellas Pharma Acquires Xyphos Biosciences

Astellas Pharma has acquired Xyphos Biosciences, gaining Xyphos' ACCEL convertible-CAR technology platform and immuno-oncology talent. The deal included $120 million paid at closing and potential milestone payments bringing the total transaction value to up to $665 million.
