HVAC & Mechanical Acquisitions in Pennsylvania

Nordomatic US, the U.S. arm of global BMS provider Nordomatic, has acquired Conexus, Inc., a Middletown, Pennsylvania-based building management systems integrator. The deal brings Conexus's ~50 employees and sector expertise into Nordomatic US to expand its footprint across the mid‑Atlantic, strengthen technical capacity, and accelerate growth in education, healthcare and government markets.

Sila Services, a national home services platform, has acquired Oxford Plumbing & Heating, a long‑standing residential plumbing and heating provider serving Chester County, Pennsylvania. The add‑on expands Sila’s service footprint and capabilities in its founding market in Eastern Pennsylvania; financial terms and seller details were not disclosed.

PremiStar has acquired Rabe Environmental Systems, a 1916-founded mechanical contractor based in Erie, Pennsylvania, expanding PremiStar’s commercial HVAC, plumbing and building automation footprint into Northwestern Pennsylvania and the tri-state Great Lakes region. Rabe brings approximately 120 employees and capabilities in HVAC, piping, plumbing and building automation, strengthening PremiStar’s service coverage across manufacturing, healthcare, education, government and commercial real estate end markets.

ENFRA, a national Energy-as-a-Service (EaaS) provider (formerly Bernhard), has acquired River Mechanical Services, a Philadelphia-area mechanical contractor, to expand ENFRA’s Northeast footprint. River Mechanical will continue operating through ENFRA’s Mechanical Resource Contractors (MRC) subsidiary and will be supported by ENFRA’s national scale and asset management capabilities.

Sila Services, a home services platform, has acquired Delco Storm & Sewer Services, a provider of sewer, drain, and complex plumbing solutions serving Delaware County and surrounding communities. The deal expands Sila’s sewer and drain capabilities across the Mid-Atlantic region and gives Delco access to Sila’s operational resources and broader regional footprint.

Northwinds Services Group has acquired Horn Plumbing & Heating, a long-standing plumbing, heating and HVAC services provider serving Chester County and the Philadelphia Main Line. Commonwealth M&A advised Horn Plumbing & Heating in the transaction; founders Todd and Scott Horn said the deal positions the business for continued success under Northwinds.

An affiliate of Paceline Equity Partners provided a $40 million preferred equity investment in Kassel Mechanical as part of a broader recapitalization to support Kassel's add-on acquisition of Arrow Electric. Kassel, a Columbus, Ohio-based MEPF contractor, will use the capital to fund growth and the purchase of Greenville, Pennsylvania-based electrical contractor Arrow Electric.

Sila Services, a home services platform, has acquired Sullivan Super Service Plumbing, Heating and Cooling, a Pittsburgh-area residential plumbing and HVAC provider. Guild Garage Group, a newly formed alliance of residential garage door service companies, announced a strategic partnership with The Jaydor Company, a family-owned garage door service business based in Norristown, Pennsylvania. The deal brings the Cifelli family's Jaydor business into Guild's platform to support future growth while allowing the family to retain unit-level ownership.

Sila Services, a PE-backed home services platform, has acquired A-Comfort Service, a Pittsburgh-based heating, cooling and plumbing company founded in 1988. The acquisition expands Sila's presence in Western Pennsylvania and brings A-Comfort's team and founders into the Sila network to support growth and enhanced customer service.

Goldman Sachs Alternatives’ Private Equity business agreed to acquire a majority stake in Sila Services from investment funds managed by Morgan Stanley Capital Partners. Headquartered in King of Prussia, Pennsylvania, Sila is a residential HVAC, plumbing and electrical services platform operating over 30 brands across the U.S. Northeast, Midwest and Mid-Atlantic; Sila management will remain in place and retain a significant minority stake. Financial terms were not disclosed and closing is subject to customary regulatory approvals.

Refrigeration Design & Service (RD&S), part of Kelvin Group and backed by Southfield Capital, has acquired Dahms Refrigeration Services, a Norristown, Pennsylvania-based commercial and industrial refrigeration contractor. The deal will integrate Dahms into RD&S's platform to expand Kelvin's service capabilities and presence in the Mid-Atlantic market, particularly across cold storage and food-processing end markets.

Broad Sky Partners, a New York-based middle market private equity firm, has acquired Punctual Pros, a Lancaster, Pennsylvania-based operator of One Hour Heating & Air Conditioning, Benjamin Franklin Plumbing and Mister Sparky Electrical franchise territories across Central Pennsylvania. The investment (terms undisclosed) will support Punctual Pros' growth and M&A-driven expansion across the Mid‑Atlantic; Harris Williams advised Broad Sky while Boxwood Partners advised Punctual Pros.

Sila Services, a home services platform, has acquired ECS Comfort Heating & Cooling, a Palmyra, Pennsylvania-based residential and light commercial HVAC provider. Tech24, backed by HCI Equity Partners, acquired Commercial Kitchen Repairs, Inc. (CKR) on February 16, 2023. CKR, based in Quakertown, Pennsylvania, provides repair, preventative maintenance and installation services for commercial cooking equipment across restaurants, schools, hospitals and grocery stores in the greater Philadelphia area; the deal is Tech24's fifteenth add-on to expand its technician workforce and customer base in the northeastern U.S.

Edgewater-backed P1 Service Group has acquired McHales, a nearly 70-year-old home services company based in Levittown, Pennsylvania. The deal brings McHales' plumbing, HVAC, electrical and remodeling capabilities into P1's platform to expand its presence in the greater Philadelphia region; owner Tim McHale will remain as day-to-day leader and a shareholder.

P1 Service Group, a Chicago-based home services platform backed by Edgewater Growth Capital Partners and River Sea Network, has acquired Essig Plumbing & Heating, a residential HVAC and plumbing provider based in Reading, Pennsylvania. The deal expands P1's footprint into the Mid-Atlantic region while Essig's president, Steve Essig, will continue to lead day-to-day operations and remain a shareholder.

Sila Services, LLC has acquired AQM Inc., a full-service HVAC company based in Exton, Pennsylvania, expanding Sila's home services footprint in the Greater Philadelphia region. The deal adds AQM's heating, air conditioning, plumbing and electrical capabilities to Sila's platform, supporting geographic expansion and broader service offerings across the Delaware Valley.

Tech24, a national provider of foodservice and commercial HVAC repair backed by HCI Equity Partners, acquired RMS Mechanical Services of Ambridge, Pennsylvania on December 3, 2021. The acquisition is Tech24’s seventh add‑on and expands its presence and customer base in the greater Pittsburgh foodservice repair and maintenance market; financial terms were not disclosed.

Sila Services LLC, a Philadelphia-based home services operator, acquired Fahrenheit HVAC (headquartered in Bucks County/Feasterville-Trevose, Pennsylvania) to expand its footprint in the Northeast and Mid-Atlantic. The deal adds Fahrenheit’s residential and commercial HVAC repair, installation and maintenance capabilities to Sila’s existing HVAC, plumbing and electrical platform.

Funds affiliated with Morgan Stanley Capital Partners completed an acquisition of Sila Heating & Air Conditioning from Dubin Clark, acquiring the Northeast/Mid-Atlantic residential HVAC, plumbing and electrical services platform headquartered in King of Prussia, Pennsylvania. Morgan Stanley Capital Partners will partner with Sila's management to continue organic growth and pursue further add-on acquisitions across the region.

Climate Pros, a portfolio company of Saw Mill Capital, has acquired Precision Mechanical Contracting, LLC. The add-on expands Climate Pros' commercial refrigeration and HVAC service footprint into the Northeast and Mid-Atlantic and represents the ninth acquisition completed by Climate Pros with Saw Mill.

HomeServe USA (HomeServe) has acquired Mark Allen Plumbing and Heating, a Bethel Park, Pennsylvania-based plumbing and HVAC services provider. The acquisition brings Mark Allen's team of 21 trade professionals into HomeServe as the company expands its HVAC and plumbing footprint in the greater Pittsburgh market.

Len The Plumber, a portfolio company of Thompson Street Capital Partners, has acquired Neffsville Plumbing, Heating & Cooling Services, a residential plumbing and HVAC services provider based in Lancaster, Pennsylvania. The transaction is an add-on acquisition that expands Len The Plumber's Mid-Atlantic footprint; terms were not disclosed.

Tiger Infrastructure Partners' platform company Granite Comfort has acquired Signature HVACR, a locally owned residential HVAC business serving the Philadelphia metropolitan area. The add-on expands Granite Comfort's footprint into Western Philadelphia and will keep founder Bob Gress as President while integrating Signature into the Granite Comfort platform.

Service Logic, a portfolio company of Warburg Pincus, has acquired Huckestein Mechanical Services, a Pittsburgh-based mechanical and HVAC services provider. Huckestein offers HVAC design-build, contract-secured maintenance, and repair services to institutional, commercial, and government customers across Pennsylvania, Ohio, West Virginia and Maryland; terms were not disclosed.

Johnson Controls has acquired the assets of Lux Products Corporation, a maker of residential thermostats and smart-home products, to strengthen its thermostat product and technology portfolio. The deal brings Lux's brands (including Kono and Geo) and US-based development and distribution capabilities into Johnson Controls' Building Technologies & Solutions business to accelerate product development and expand offerings in the residential channel.
