HVAC & Mechanical Acquisitions in Tennessee

Averon Group, a national HVAC distribution platform backed by Trinity Hunt Partners, announced an investment in Fenco Supply, adding the family-owned HVAC distributor to its platform. The move expands Averon Group’s footprint into the Southeast and strengthens its network of independent HVAC distributors serving contractors and facility managers.

Air Conditioning Specialist, Inc. (ACS), a portfolio company of Hidden Harbor Capital Partners, has acquired Clark Heating & Cooling, Inc., a residential and light commercial HVAC provider headquartered in Dickson, Tennessee. The deal expands ACS’s footprint in Middle Tennessee and strengthens its HVAC and plumbing service platform; financing for the transaction was provided by funds managed by First Eagle Alternative Credit and Capital Southwest.

USA Hometown Experts, a platform backed by MSouth Equity Partners, has acquired Metro Plumbing, Heating & Air of Chattanooga, Tennessee. Metro's CEO Drew Hardin will remain in place as the transaction brings the residential HVAC, plumbing, septic and drain services provider into USA's Southeast home services roll-up.

Leap Partners, a Nashville-based home services consolidator, has acquired Scenic City Plumbing, a Chattanooga plumbing company founded in 1987 by Jeff Logan. Scenic City Plumbing will continue operating under its name with Logan remaining to lead the business as part of Leap Partners' Southeast platform expansion.

Quad-C Management has made an investment in Flow Service Partners, a multi-region provider of HVACR and plumbing services operating in the Midwest, Southeast and Mid-Atlantic. Quad-C said it will work with Flow's management to scale operations through M&A, expand geographic reach, and add new service offerings; terms were not disclosed.

Quad‑C Management has acquired Flow Service Partners from sellers RLJ Equity Partners and LP First Capital; financial terms were not disclosed. Flow is a commercial HVACR and plumbing services platform headquartered in Nashville, Tennessee, operating across several U.S. states with over 400 employees and built through multiple acquisitions since 2021.

H.I.G. Capital (through an affiliate) has completed a growth investment in Ascension Property Services (APS), a Tennessee-headquartered provider of mechanical, electrical and plumbing (MEP) services for commercial and industrial properties. The investment will support APS's organic and acquisition-driven growth, expand its service offerings and target new geographies across the southern U.S.

Pye-Barker Fire & Safety has acquired Allstar Fire Protection, a full-service fire protection company serving the Southeast, including Tennessee, Kentucky, Florida, North Carolina, South Carolina, Georgia and Alabama. The deal expands Pye-Barker’s local teams and footprint in the Southeast and preserves Allstar’s leadership and operations as its founders retire.

Point 41 Capital Partners partnered with the founders and management of Interstate AC Service to recapitalize the company and support growth, concurrently acquiring Kimbro Mechanical and Open Source Controls to build a multi-discipline commercial services platform. Monroe Capital arranged senior debt to finance the transaction, which will support organic and inorganic expansion across HVAC, plumbing and building automation end markets.

Liberty Service Partners, a home‑services platform backed by private equity firm NorthCurrent Partners, has acquired Aire Care Mechanical Heating & Cooling, a Knoxville, Tennessee HVAC contractor founded by Jeff and Heather Davis in 2015. The deal expands Liberty's presence in the Southeast and will keep Jeff Davis with the business; Viking Mergers & Acquisitions served as sell‑side advisor.

Leap Partners acquired Patriot Services, a Chattanooga-based plumbing, heating and air-conditioning company. The deal expands Leap Partners' Southeast home-services platform; former owner Terry Morrow will remain to lead the Patriot Services team.

The deal expands ACS’s service footprint in Tennessee and strengthens its residential and light-commercial HVAC capabilities as an add-on to its platform.

PremiStar has acquired Golding Mechanical Services, a full-service HVAC and controls contractor based in Memphis, Tennessee, to expand its mechanical service offerings and service density in the Southeastern U.S. Golding’s founder Pam Golding will join the PremiStar family (with her son Jonathan Golding named Director of Field Service Operations), and the business will broaden capabilities for PremiStar’s CS3 operations in the region.

A1 Garage Door Service has acquired Pro Door Doctor, a local garage door repair and installation provider based in Spring Hill, Tennessee. The acquisition brings Pro Door Doctor operations into A1's national footprint and expands A1's service coverage across the greater Nashville area.

SuperHero Fire Protection, a portfolio company of Hidden Harbor Capital Partners, has acquired Life Safety Inspections, LLC, a fire protection installation and services provider headquartered in Oak Ridge, Tennessee. The add-on expands SuperHero's geographic footprint in Tennessee and increases its recurring inspection and retrofit services.

Heritage Distribution Holdings, the Gryphon Investors-backed HVAC/R distribution platform, has acquired Coastal Supply Company Inc., a 40-year-old, family-owned HVAC/R distributor based in Knoxville, Tennessee with six branch locations. Coastal will operate under HDH’s Ed’s Supply division and remain led by General Manager David Kennedy as part of HDH’s continued geographic expansion in the Southeast.

Tech24, the HCI Equity Partners-backed national provider of foodservice and commercial HVAC repair and maintenance, acquired Allied Service Group on September 23, 2022 as its twelfth add-on. Allied, based in Jackson, Tennessee, provides repair, preventative maintenance and installation services to restaurants, grocery stores and institutions across Southwest Tennessee and Northern Mississippi, expanding Tech24's footprint in the Southeastern U.S.

Royal House Partners, a home‑services roll‑up platform backed by CPS Capital and 1801 Holdings, has acquired Action Heating & Cooling, a Crossville, Tennessee HVAC business. The deal expands RHP's footprint into Tennessee as part of its residential and light commercial HVAC, plumbing and electrical roll‑up strategy; Twin Brook Capital Partners provided debt financing.

Air Conditioning Specialist, Inc. The deal expands ACS’s geographic footprint into Tennessee; Chancey & Reynolds will continue to be led by owner Steve Chancey.

Reedy Industries, a Deerfield, Illinois–based commercial and industrial HVAC, plumbing, and building controls platform, has acquired CS3, a mechanical, HVAC, and building controls provider with offices in Memphis/Bartlett and Nashville, Tennessee. The add-on deal expands Reedy's service capabilities and footprint in the southeastern United States and preserves CS3's leadership team.

RLJ Equity Partners and LP First Capital recapitalized three HVACR and plumbing businesses to create Flow Service Partners, a commercial HVACR and plumbing platform headquartered in Nashville, Tennessee. Brookside Capital Partners provided unitranche debt and an equity co-investment to facilitate the transaction; RLJ will hold controlling equity and pursue add-on acquisitions to scale the platform.

GI Partners is making a majority investment in American Residential Services (ARS), with existing investor Charlesbank Capital Partners and ARS management also making significant new investments. ARS, based in Memphis, Tennessee, operates more than 70 locally managed service centers across 23 states with approximately 6,500 employees and is the largest residential HVAC and plumbing services provider in the U.S. GI Partners said it will work with management and Charlesbank to accelerate growth and expand ARS’s national footprint both organically and via add-on acquisitions; the transaction is expected to close in Q4 2020.

Arco Distributing & Heating & Cooling, a Greenleaf Capital Partners portfolio company, has acquired Northgate Parts, Inc., a manufactured housing and recreational vehicle parts distributor that also provides air conditioning servicing. The add-on acquisition expands Arco’s distribution reach and HVAC service capabilities in the manufactured housing and RV markets; terms were not disclosed.
