Acquisitions in Michigan in 2016

Specialty Program Group (SPG), a holding company for specialty insurance brokers and underwriting facilities, has acquired the assets of Traverse City-based Global Marine Insurance Agency. Global Marine, a national brokerage focused on boats, yachts, marinas and commercial marine vessels, will join SPG’s specialty insurance platform; terms were not disclosed.

Capstone Partners advised Avomeen Analytical Services on a recapitalization led by High Street Capital; terms were not disclosed. Avomeen, an Ann Arbor-based provider of formulation, product development and analytical/pharmaceutical testing services, will use the partnership and capital to professionalize business development and pursue further growth.

Arthur J. Gallagher & Co. acquired Regency Group, a wholesale insurance broker and program administrator based in East Lansing, Michigan. Regency — known for workers' compensation programs for independent retail brokers and niche specialty programs for landscaping, retail hardware and restaurants — will continue to operate from East Lansing under the direction of Risk Placement Services, Inc., a Gallagher subsidiary; terms were not disclosed.

Precise Mold & Plate has acquired the ErgoStation line of height-adjustable workstations and machine bases from Extol, Inc. The divestiture, which closed on October 27, 2016, allows Extol to focus on its core plastics-joining equipment business while continuing to purchase ErgoStation products from Precise; financial terms were not disclosed.

Roark Capital Group has acquired Great Expressions Dental Centers from OMERS Private Equity. Great Expressions is a leading dental support organization with 269 affiliated practice locations across ten states and over 900 dentists and hygienists; Roark plans to accelerate growth through further affiliations and platform investment.

Union Partners I LLC has acquired Berg Steel Corporation, a Royal Oak, Michigan-based processor and distributor of carbon steel coil products. Angle Advisors served as the exclusive investment banking advisor to Berg Steel; the company operates state-of-the-art slitting capabilities and employs approximately 40 people.

Randal Bellestri has acquired Models & Tools Holdings, Inc., a Shelby Township, Michigan-based designer and manufacturer of turnkey tooling systems for the aerospace and defense industries. Models & Tools was previously a portfolio company of Altus Capital Partners; Angle Advisors served as the exclusive advisor on the transaction.

Advanced Dermatology and Cosmetic Surgery (ADCS Clinics) has acquired Kalamazoo Dermatology & Skin Cancer Center, a Portage, Michigan practice owned by Dr. Gerald D. Karabin. The deal expands ADCS's footprint in Michigan and adds clinical, surgical and cosmetic dermatology capabilities — including Mohs micrographic surgery — to its national platform.
