Building Products Acquisitions in Virginia

Y Capital, a newly launched private equity firm led by Eric Vest, made a $15 million expansion capital investment in Dextall to support scaling of its AI-driven building envelope design, manufacturing, and installation platform. The investment will fund national expansion, deepen Dextall's technology (including a solar-integrated façade initiative), and Eric Vest joined Dextall's board as part of the transaction.

QXO, Inc. completed its acquisition of Beacon Roofing Supply, Inc. in a cash transaction valuing the deal at approximately $11 billion ($124.35 per share). Beacon is now a wholly owned subsidiary of QXO as the buyer seeks to scale and become the leading tech-enabled distributor in the building products industry.

ABC Supply Co., Inc., North America’s largest wholesale distributor of roofing and building products, has acquired Roofing and Supplies, Inc., a Richmond, Virginia-based distributor founded in 1970. The transaction, advised by Generational Group, closed on March 24, 2025 and transfers the family-owned business to ABC Supply to expand its regional footprint and contractor network.

Titan America LLC has acquired D.M. Conner Sand & Gravel Company, which operates an aggregates quarry in Stuarts Draft, Virginia. The acquisition expands Titan America's aggregates and critical-minerals footprint in the Mid-Atlantic and secures clay and aggregate reserves to support its cement and construction-materials operations.

RectorSeal, a provider of HVAC/R and contractor products and a subsidiary of CSW Industrials, has acquired PSP Products, a Manassas, Virginia-based supplier of surge protection and load management electrical solutions. The acquisition expands RectorSeal's surge protection product portfolio and supports continued market expansion into residential and commercial HVAC electrical applications.

Holcim US has acquired the business of King William Sand & Gravel Co., Inc., adding sand and gravel reserves and operations in King William County, Virginia to its Mid-Atlantic footprint. The transaction expands Holcim's aggregates supply and distribution capabilities to serve the Richmond and Central Virginia construction markets.

White Cap has acquired Rebar Solutions, LLC, a Virginia-based rebar fabricator and distributor, adding full-service rebar fabrication and pre-assembled reinforcement products to its operations. The deal expands White Cap's rebar capabilities and geographic reach in the Mid-Atlantic region; Rebar Solutions' owner Dale Wenger will join the company as part of the transition.

Swedish elevator manufacturer Cibes Lift Group has acquired Virginia-based Area Access Inc, a distributor and service provider of residential vertical lifts in the US Mid-Atlantic. Area Access (56 employees) will become a wholly owned subsidiary while maintaining its brand and local management, strengthening Cibes' US presence as its fourth American addition.

US LBM, a national distributor of specialty building materials, has acquired Homestead Building Systems, a turnkey structural building component manufacturer operating a 29‑acre facility in Orange, Virginia and a distribution center in Bristow, Virginia. The acquisition expands US LBM’s truss and wall-panel manufacturing footprint and strengthens its presence across the Washington D.C., Richmond and Charlottesville metropolitan areas.

Beacon Roofing Supply (Nasdaq: BECN) has completed the acquisition of Metro Sealant & Waterproofing Supply, Inc., a 35-year-old sealant and waterproofing distributor headquartered in Springfield, Virginia with branches in Ashland, VA; Linthicum, MD; and Virginia Beach, VA. The purchase expands Beacon's specialty waterproofing capabilities and regional footprint as part of its growing waterproofing division.

Core & Main Inc. has completed the acquisition of substantially all of the assets of Eastern Supply Inc. and a related entity. Eastern Supply, headquartered in Virginia with locations in Winchester, VA and Greencastle, PA, is a distributor of storm drainage products with custom fabrication capabilities that will expand Core & Main’s waterworks product and fabrication footprint in the Northeast.

Rotunda Capital Partners has invested in Door Pro America, a Gainesville, Virginia‑based residential garage door installation, repair and replacement services provider with eight U.S. locations. The founders (Co‑Presidents Larry Notto and Chris Traxler) will remain in leadership and retain an ownership stake as Rotunda partners with the company to scale organically and via acquisitions.

Fencing Supply Group (FSG), a platform backed by private equity firm The Sterling Group, has acquired Atlantic Fence Supply, a wholesale fence distributor and fabricator based in Ashland, Virginia. The add-on expands FSG’s branch footprint and capabilities in the Richmond/Tidewater Virginia market, while providing additional resources and growth opportunities for Atlantic Fence Supply’s employees and customers.

Genesis Products, Inc. acquired BHK of America (South Boston, Virginia) on November 30 to integrate BHK's 46 years of drawer-component manufacturing expertise with Genesis's laminated panels and wood components capabilities. Genesis will retain BHK's leadership and sales team, expand product lines (including BHK's vinyl-wrapped DuraWrap drawer parts), and strengthen Genesis's East Coast manufacturing footprint.

Holcim US has acquired the sand and gravel operation of Basic Construction Company, LLC in New Kent County, Virginia, adding 230 acres of land and significant aggregate reserves to its Mid-Atlantic portfolio. The site will be managed by Holcim US' Mid-Atlantic leadership and supports the company's strategy of bolt-on acquisitions to expand reserves and capabilities in mature aggregates markets.

SiteOne Landscape Supply completed the acquisition of Yard Works, LLC, a wholesale distributor of bulk landscape supplies operating 13 locations in Central Virginia. The deal expands SiteOne’s product offering and presence in the Virginia market and is the company’s fifth acquisition in 2022.

Metrie, North America's largest manufacturer and distributor of millwork solutions, has acquired Tinder Wholesale, LLC, a two-step distributor of interior and exterior millwork. The deal expands Metrie's presence in the U.S. Atlantic region and strengthens its supply chain and service offering for regional customers.

Industrial Opportunity Partners (IOP) has acquired N.B. Handy Company, a 130-year-old building products distributor headquartered in Lynchburg, Virginia. Terms were not disclosed; N.B. Handy will continue to be led by President & CEO Rosana Chaidez and will be supported by IOP to drive operational improvements and growth across its 21 locations in six states.

SiteOne Landscape Supply (NYSE: SITE) has acquired JK Enterprise Landscape Supply, a regional landscape supplier with seven locations across Northern Virginia and Maryland. The acquisition expands SiteOne's footprint in Northern Virginia, Washington, D.C., and Maryland and brings JK Enterprise's bulk and bagged mulches, soils, hardscapes and nursery products and contractor-facing distribution into the SiteOne network.

West Shore Home, a Pennsylvania-based technology-enabled home improvement company, has acquired Skyline Windows of Richmond, a Richmond, Virginia window replacement business. The acquisition expands West Shore Home’s Virginia footprint and adds Skyline’s $4.5 million in 2020 sales and 24 employees to the platform as an add-on to accelerate geographic growth.

Woodgrain Millwork, a family-owned millwork manufacturer based in Fruitland, Idaho, acquired Independence Lumber, Inc.'s two sawmills (Independence, VA and Elkin, NC) in a court-approved sale out of Federal Receivership. The acquisition expands Woodgrain's lumber production capacity to support its internal mills and external customers and preserves local jobs at the acquired facilities.

Installed Building Products, Inc. (NYSE: IBP) has acquired WeatherSeal Insulation Co., LLC, a Charlottesville, Virginia-based provider of fiberglass and spray foam insulation for residential customers. The acquisition (approximately $6.4 million of annual revenue) expands IBP's presence in Virginia and adds to its ongoing roll-up strategy of insulation and complementary building-product installers.

Winsupply Inc. has acquired the assets of May Supply, a wholesale and retail distributor of plumbing and water-system materials and kitchen & bath fixtures operating from Harrisonburg and Ruckersville, Virginia. May Supply will be incorporated as Winsupply of Harrisonburg VA and continue to operate under the May Supply name, with Charles "Chuck" May joining as president and purchasing equity under Winsupply's shared-ownership model.
