Gemspring Capital Management (through an affiliate) has acquired a majority interest in ClearCompany Holdings, Inc., a provider of talent management / human capital management (HCM) software. Financial terms were not disclosed; Gemspring said it will partner with ClearCompany's management to expand the customer base, enhance product offerings, and accelerate growth.

ClearSale Acquires Beta Learning

ClearSale has acquired Brazilian software consultancy Beta Learning Consultoria e Desenvolvimento de Software LTDA for an initial R$40.1 million (approx. USD $7M) plus up to two contingent installments, in the company's first M&A since its 2021 IPO. The deal is an 'acquihire' that brings more than 100 software developers into ClearSale to expand its R&D and accelerate product development for ecommerce fraud protection.

Siemens AG Acquires Brightly Software from Clearlake Capital

Siemens AG, via its Smart Infrastructure division, agreed to acquire Brightly Software, a U.S.-based cloud-native enterprise asset management SaaS provider, from Clearlake Capital for $1.575 billion in upfront cash plus up to $300 million in earn-outs. The acquisition strengthens Siemens' digital building and infrastructure software capabilities and expands its SaaS footprint, while Brightly will benefit from Siemens' global scale.

BPEA EQT Mid-Market Growth Acquires Majority Stake in HRBrain

BPEA EQT Mid-Market Growth has agreed to acquire a majority stake in HRBrain, a Tokyo-based HR software provider, from existing shareholders. The founder Hiroki Hori will remain a significant minority shareholder and CEO; the fund will support HRBrain's product development, customer base expansion and further organic and inorganic growth.
