Environmental Services Acquisitions in Oklahoma

Hoffman Sanitation Services, owned by Stewart Hoffman, has acquired James Shea Sanitation, a waste service provider based in Coalgate, Oklahoma. The deal expands Hoffman’s southeast Oklahoma footprint and adds local residential and commercial routes (Coal, Atoka and Pittsburg counties) to improve route density and realize operational synergies.

GFL Environmental Inc. acquired Superior Waste Industries, LLC, a Shawnee, Oklahoma–based regional solid waste and recycling operator, from Red Dog Equity LLC in an all-cash transaction. The deal transfers ownership of Superior and its subsidiaries (including Central Disposal, Harley Hollan, Sue's Recycling and Sanitation, and SDS Roll-off Dumpsters) to GFL as part of the company's U.S. expansion and market consolidation strategy.

Valicor Environmental Services, a Pritzker Private Capital portfolio company, has acquired NewGen Resources, LLC, a provider of non-hazardous wastewater disposal and industrial oil services, to expand Valicor's footprint into Oklahoma and the Southwest. The acquisition adds NewGen's centralized wastewater treatment facility in Oklahoma City and an oil collection/processing facility in Atkins, Arkansas to Valicor's network of treatment facilities.

Chartwell Investments' CHIEF Capital has led a growth investment in World Water Works (WWW), with Backcast Partners and Source Capital joining as capital partners to fund the company's expansion and innovation initiatives. World Water Works, a U.S.-based provider of water and wastewater treatment systems and services headquartered in Oklahoma City, will use the capital to accelerate growth, develop new solutions for industrial and municipal clients, and solidify its market-leading position.

Cards Holdings LLC of Fayetteville, Arkansas has acquired Ken's Trash Service of Tahlequah, Oklahoma as part of its ongoing roll-up of regional waste providers. The purchase expands Cards' residential and commercial collection footprint in northeast Oklahoma and adds route/customer density to its network of waste services.

Cards Holdings LLC, based in Springdale, Arkansas, acquired Harrah Disposal (Harrah, Oklahoma) and Stacy's Trash Service (Tahlequah, Oklahoma). The purchases expand Cards' residential, commercial and municipal waste collection services across central and eastern Oklahoma and add roughly 5,000 customers to its network.

Dow has signed an agreement to acquire Circulus, a North American polyethylene recycler that operates facilities in Ardmore, Oklahoma and Arab, Alabama, adding 50,000 metric tons per year of recycled material capacity. The acquisition strengthens Dow's mechanical recycling capabilities and supports its goal to produce 3 million metric tons of circular and renewable solutions annually by 2030. The transaction is expected to close in the third quarter of 2024, subject to customary regulatory approvals.

Superior Waste Industries, LLC (d/b/a Superior USA Waste), a Red Dog Equity portfolio company, has acquired Shawnee Dumpster Services (SDS) and Sue's Recycling & Sanitation. Monroe Capital acted as sole lead arranger and administrative agent on a senior credit facility to support the add-on acquisitions as Superior expands its density and capabilities across Oklahoma.

Superior USA Waste (d/b/a Superior USA Waste), a Shawnee, Oklahoma-based environmental services holding company, has acquired SDS Roll-Off Dumpsters, a roll-off dumpster and solid waste collection provider headquartered in Shawnee, Oklahoma. The deal is an add-on to Superior's platform as it continues to densify and expand within Oklahoma, backed by partnership capital from Red Dog Equity LLC with additional capital and financing provided by The Pritzker Organization and Monroe Capital.

Sprout purchased key assets and customers of Oklahoma City-based CircleIT in a strategic asset acquisition announced in late 2023. The deal adds CircleIT's ITAD/refurbishment capabilities and its ESG reporting platform to Sprout's operations; CircleIT will cease to exist as a separate business entity.

CARDS Holdings, Inc. acquired Johns Refuse, LLC, a residential and commercial waste services provider based in Chelsea, Oklahoma, expanding CARDS' footprint into the greater Tulsa market. The deal — enabled by a recent capital investment from Kinderhook Industries — adds over 7,000 customers, 5,000 containers, 10 trucks and 12 employees and expands CARDS' frontload commercial, industrial roll-off and portable restroom offerings.

CARDS Holdings (CARDS Recycling), a PE-backed regional waste and recycling services provider, has acquired Whittinghill Disposal Services, a commercial and industrial waste hauler based in Muskogee, Oklahoma. The deal adds roughly 7,000 customers, 8 trucks and 15 employees and brings construction & demolition recycling, wood grinding and composting capabilities while increasing CARDS' market density across eastern Oklahoma and bridging its Arkansas, Oklahoma and Texas operations. The acquisition was enabled by a recent capital investment from Kinderhook Industries.

Shawnee, Oklahoma-based Superior USA Waste (Superior Waste Industries) has acquired Harley Hollan Companies, a Tulsa-area solid waste management business that operates commercial collection, roll-off services, recycling and a transfer station. The transaction is an add-on to Superior's platform and was supported by equity and financing partners including Red Dog Equity LLC and Monroe Capital; Harley Hollan invested in Superior and will continue to manage the business.

Covanta has acquired Miller Environmental Transfer (MET), a Tulsa-based provider of waste transportation and treatment services that serves the South-Central United States. The deal expands Covanta's sustainable materials management capabilities—including carbon-neutral offerings—and strengthens operations around its Tulsa waste-to-energy facility.

Superior Waste Industries, d/b/a Superior USA Waste, a Shawnee, Oklahoma-based environmental services holding company, acquired Central Disposal, a solid waste management company headquartered in Shawnee, OK. The transaction was backed by private equity partner Red Dog Equity LLC (with financing support from Monroe Capital and available capital from The Pritzker Organization), and the founding Adcock family made a significant investment and will continue operating the business.
