Environmental Services Acquisitions in Virginia

Virginia Green, a regional lawn care provider headquartered in Richmond, Virginia, has acquired Northern Virginia-based Bio Turf, Inc. The acquisition expands Virginia Green's footprint and service capacity in Northern Virginia while Bio Turf's irrigation business will continue operating independently during the transition.

Gillson Sciences, a Chicago-based laboratory testing and scientific solutions provider and portfolio company of Keystone Capital Management, has acquired SanAir Technologies Laboratory, an accredited environmental and industrial hygiene testing laboratory headquartered in Richmond, Virginia. The add-on expands Gillson's capabilities into environmental testing (air, asbestos, Legionella, lead/metals, industrial hygiene) and broadens its service offering across environmental and industrial end markets.

Arcwood Environmental, an EQT Infrastructure–backed national environmental services platform, has acquired MXI Environmental Services / Dynamic Recycling, a Virginia-based provider of hazardous and non-hazardous waste management, recycling, and household hazardous waste programs. The add-on expands Arcwood's waste transportation, recycling and HHW capabilities and strengthens its operational footprint across the Eastern United States.

Verdantas, a Sterling Investment Partners-backed environmental and engineering consulting platform, has acquired Crawford Environmental Services (CES), a Roanoke, Virginia-based firm specializing in site assessment, remediation, emergency response, and compliance services. The add-on expands Verdantas' technical capabilities and geographic footprint—enhancing support for federal, industrial, and commercial clients across 18 states.

AMP Robotics Corporation has acquired the Portsmouth operations of RDS of Virginia, LLC, expanding AMP's local recycling and mixed-waste processing capabilities in South Hampton Roads. The acquisition supports AMP's AMP ONE AI-powered sorting operations in Portsmouth and aims to increase processing tonnage and diversion rates at the facility.

Tri Scapes, LLC, a portfolio company of Hidden Harbor Capital Partners, announced a strategic acquisition/partnership with Blake Landscapes, LLC to extend Tri Scapes' commercial landscaping presence into Virginia. The transaction was financed by funds managed by First Eagle Alternative Credit, and McDermott, Will & Schulte LLP served as legal advisor to Hidden Harbor Capital Partners.

Fairfax, Virginia-based private equity firm Seekye Capital announced its inaugural acquisition of SES Mid Atlantic, Advantage Septic Service, and Joiner Micro Laboratories. The deal brings together soil/environmental consulting, septic services, and environmental lab capabilities across Virginia to form a comprehensive wastewater and environmental services platform and support growth and expansion initiatives.

Landscape Workshop, a commercial grounds management platform backed by Ares Management Corporation, has acquired Willis Landscaping, Inc., a provider of commercial landscaping services in Lynchburg, Virginia. The add-on expands Landscape Workshop’s presence in Lynchburg, Roanoke and Charlottesville and strengthens its commercial grounds management capabilities in Virginia.

Ruppert Landscape has acquired Greatscapes Property Management Group, a nearly 30-year Virginia-based landscaping firm, to expand Ruppert’s presence in the Virginia market. Greatscapes owner James Printz will join Ruppert as a partner and continue leading the local business; financial terms were not disclosed.

Economic Alternatives, Inc. (EAI Water) has acquired LaMotte Water Management, a Williamsburg, Virginia-based provider of consulting and service for industrial and commercial water treatment systems. The deal expands EAI's Total Water service capabilities into the Mid-Atlantic, giving LaMotte customers access to EAI's chemical, membrane and disinfectant solutions while maintaining LaMotte's team and customer relationships.

RF Investment Partners-backed ProSite Services has acquired Potter's Potties, a portable sanitation provider serving Northern Virginia. The add-on expands ProSite's site-services platform footprint and service offerings (including restroom trailers, storage containers and mobile office pods) as it builds regional density across the Southeast.

Landscape Workshop, a PE-backed commercial grounds management firm, has acquired BCLS Landscape Services, expanding Landscape Workshop's footprint into the Richmond and Fredericksburg, Virginia markets. BCLS leadership (Howard Rose, Steven Cohen, and Melannie Huber‑Cohen) will join Landscape Workshop in leadership and advisory roles to support the transition and continuity of services.

True Environmental, a Halle Capital-backed environmental services platform, has acquired GKY & Associates, a Virginia-based water resources engineering and environmental consulting firm. The deal brings GKY's team and capabilities onto the True platform to accelerate growth, broaden service offerings, and facilitate an ownership transition for GKY's owners.

VLS Environmental Solutions has acquired Clearfield MMG, a Chesapeake, Virginia–based waste treatment and remediation services provider that operates three facilities in Chesapeake, Petersburg and Suffolk. The deal expands VLS's geographic footprint and capabilities in the mid-Atlantic by adding Clearfield's waste processing, transportation and field services expertise.

Omnex Engineering and Management, an Ann Arbor, Michigan-based consulting and certification firm, acquired Futurepast, Inc., a greenhouse gas (GHG) consulting, training, and verification firm headquartered in Arlington, Virginia. Futurepast will be integrated into Omnex's Secure, Safe, and Sustain (Omnex S3) business unit with John Shideler named Managing Director of Sustainability Services to expand Omnex's GHG, verification, training, and Net Zero capabilities.

Verdantas, a Tampa-based environmental and engineering consulting firm backed by Sterling Investment Partners, has acquired Aegis Environmental, a Richmond, Virginia environmental consultancy. The acquisition expands Verdantas' geographic footprint into Virginia and strengthens its environmental health & safety, permitting, stormwater, and sustainability capabilities as an add-on to the Verdantas platform.

Wind River Environmental, a Gryphon Investors-backed environmental services platform, has acquired Brockwell's Septic and Service Inc., a Virginia Class A contractor based in Quinton, VA. The acquisition expands Wind River's footprint and service capabilities in central/eastern Virginia while retaining the existing Brockwell's team at its Quinton location.

Mead & Hunt, an employee-owned architecture, engineering, and planning firm, has acquired Dovetail Cultural Resource Group, a Mid-Atlantic cultural resources management firm with offices in Fredericksburg, Virginia and Wilmington, Delaware. The acquisition adds archaeology and historic preservation expertise to Mead & Hunt's service offering and expands its capabilities in the Mid-Atlantic region.

Superior Environmental Solutions (SES), a portfolio company of Palladium Equity Partners, has acquired Arrowhead Environmental Services, a Windsor, Virginia-based provider of environmental and industrial services. The add-on expands SES's geographic reach into the Southern Mid-Atlantic (Central Virginia), brings approximately 50 employees and 75 customers into the SES platform, and underscores Palladium's strategy of growing SES via tuck-in acquisitions; financial terms were not disclosed.

Golden Gate Capital has completed a recapitalization of Virginia Green, a Richmond-based provider of residential and commercial lawn treatment services, in partnership with founder and CEO Gil Grattan who remains a significant shareholder and will continue as CEO. The investment will support Virginia Green’s expansion into existing and adjacent geographies and help scale its subscription-based lawn care platform.

CenterOak Partners' portfolio company Palmetto Exterminators has acquired PestNow and consolidated the businesses under a new operating platform, Entomo Brands. The combined company will be headquartered in Charleston, South Carolina, operate 17 branches across six states, employ more than 350 team members, and plans further organic growth and add-on acquisitions.

Senske Services, a GTCR-backed lawn care and home services platform, has acquired National Turf Service, a family-owned lawn care business headquartered in Springfield, Virginia. National Turf will be rebranded as a second branch of Senske's Blades of Green division as Senske expands its presence in the Northeastern U.S.

Data Clean Corporation, a portfolio company of Angeles Equity Partners, acquired SML Enterprises, a Virginia-based critical environment cleaning business serving data centers across the Mid-Atlantic. The add-on strengthens Data Clean's contamination-control footprint in a key data-center geography and supports Angeles Equity's strategy to consolidate the critical-environment cleaning market.

Wind River Environmental, a Gryphon Investors–backed environmental services platform headquartered in Marlborough, Massachusetts, has acquired Church View Septic Services, Inc., a longtime septic and wastewater services provider in Urbanna, Virginia. The add-on expands Wind River's footprint into central Virginia and brings Church View's residential, commercial and municipal customer base and local operations into Wind River's network.

Sterling Investment Partners, in partnership with Xylem management (Randolph and Benjamin Hoover), has acquired Xylem, Inc. and combined it with Sterling's existing portfolio company Kendall Vegetation Services to form a larger vegetation management platform. The combined business — led by Co‑CEOs Randolph Hoover and Robert Williams — employs over 2,000 people, operates in 20+ states, and will expand vegetation management and emergency storm response capabilities across the eastern seaboard, Gulf states and beyond.

Authority Brands, a Columbia, Maryland–based franchisor of home service brands, has acquired DoodyCalls, a leading pet waste removal franchisor. The acquisition expands Authority Brands' home-service portfolio and will integrate DoodyCalls' operations across its franchise network; terms were not disclosed.

CenterOak Partners’ portfolio company Shamrock Environmental has acquired Virginia American Industries (VAI), a regional provider of non-hazardous wastewater treatment operating under the Aqua Clean and Reco trade names in Florida and Virginia. The add-on expands Shamrock’s permitted treatment capacity and roughly doubles its regional presence, strengthening its footprint across the Southeast U.S.; terms were not disclosed.

Pace Analytical Services, LLC acquired Aerobiology Laboratory Associates, Inc., an accredited environmental microbiology testing laboratory with eight labs and two service centers, to strengthen Pace’s microbiology capabilities. Aerobiology will continue operating under its brand as a division of Pace, with founder Suzanne Blevins and her team remaining to lead the business.

GFL Environmental Inc. completed the acquisition of 100% of County Waste of Virginia from Clairvest Group Inc. (and its management shareholders), extending GFL’s U.S. footprint in solid waste collection and recycling across Virginia and Pennsylvania. Clairvest realized a significant return on its original investment after County Waste expanded through an aggressive acquisition program and revenue growth.

HEPACO, a Gryphon Investors-backed emergency response and environmental services platform, has acquired PetroChem Recovery Services from Succession Capital Partners. The Norfolk, Virginia-based PetroChem will expand HEPACO's emergency response and environmental remediation capabilities and geographic coverage in the Mid-Atlantic; terms were not disclosed.
