HVAC & Mechanical Acquisitions in Maryland

Astra Service Partners, a division of Orion Group and portfolio company of Alpine Investors, has made an investment in Knott Mechanical, Inc. SC&H Capital advised Knott Mechanical on the transaction. Knott Mechanical, founded in 2002, provides mechanical and HVAC maintenance, repair and retrofit services to over 1,700 buildings across the Mid-Atlantic.

AirX Climate Solutions (ACS), a Gryphon Investors-backed specialty HVAC platform, has acquired Powrmatic USA, a Finksburg, Maryland-based manufacturer of commercial and industrial heating, cooling and air turnover systems. Powrmatic, with ~30 employees, was divested by Stamm International Corporation and will operate under ACS to expand its specialty HVAC capabilities and mid‑Atlantic footprint.

CoolSys has acquired Mechanical Engineering & Construction Corporation (MEC2), a Maryland- and Virginia-based mechanical engineering and construction firm. The acquisition strengthens CoolSys's commercial and industrial capabilities while deepening its presence in the Mid-Atlantic region.

AirX Climate Solutions, a Gryphon Investors-backed platform, has acquired AboveAir Technologies, a Frederick, Maryland-based OEM of precision cooling solutions for data centers. AboveAir will operate as a new division of ACS with founder Matt Miller named President of the AboveAir division and becoming a shareholder; ACS will invest in manufacturing capacity at AboveAir's 100,000-square-foot facility and expand its Mid-Atlantic footprint.

Southern Home Services has acquired Presidential Heating & Air Conditioning, Inc., a Gaithersburg, Maryland-based HVAC contractor, marking Southern's first business unit in Maryland. The acquired business will continue to operate under its existing name with employees retained, as Southern expands its residential HVAC, indoor air quality and service offerings in the Mid-Atlantic.

Watchtower Capital Partners led a platform investment to form Ally Services by simultaneously acquiring SPS Mechanical and JF Plumbing & Heating, with Aldine Capital Partners providing subordinated debt and equity. Ally, a regional provider of plumbing, HVAC and water-filtration services serving over 3,000 residential and light-commercial customers across the Mid-Atlantic, immediately completed an add-on acquisition of CarrFord Heating & Air Conditioning to expand its New Jersey footprint.

Flow Service Partners, a platform backed by RLJ Equity Partners and LP First Capital, has acquired R Brooks Mechanical Heating and Air Conditioning. The add-on expands Flow's HVACR and plumbing capabilities and extends its geographic footprint into Maryland, Pennsylvania and Delaware; financial terms were not disclosed.

SuperHero Fire Protection, a portfolio company of Hidden Harbor Capital Partners, has acquired Judd Fire Protection, a Westminster, Maryland-based provider of fire protection installation and services. The transaction expands SuperHero’s geographic footprint into Maryland/D.C. and increases recurring service and retrofit revenue for the platform.

Sila Services, a home-services platform, has acquired TriState Home Services, a Frederick, Maryland-based provider of HVAC, plumbing and electrical services. The deal expands Sila's residential service footprint and capabilities in the Greater Washington, D.C. metro area.

HomeServe USA Corp. has acquired Ken Griffin Plumbing Services, Inc., a family-owned full-service plumbing company based in Dayton, Maryland that serves Howard County. The Ken Griffin team — including founder Ken Griffin and existing staff — will remain with the business; HomeServe said the deal strengthens its service offering in the greater Washington, D.C. area and complements recent local HVAC acquisitions.

L Catterton has agreed to acquire LTP Home Services Group, a residential plumbing and HVAC platform operating under brands including Len the Plumber, from Thompson Street Capital Partners (TSCP), which will retain a minority stake and a board seat. The transaction positions L Catterton to scale LTP’s platform through continued acquisitions and geographic expansion across the Mid-Atlantic and Southeast, leveraging LTP’s reputation for customer service and technician quality.

3Phase Elevator and Advanced Elevator have merged, with Advanced joining the 3Phase family to strengthen 3Phase's presence in the Greater Washington, D.C. and Baltimore markets. The deal allows Advanced to remain led by founder Stanley Smentkowski Sr. (with his son) while leveraging 3Phase's digital capabilities and automation to support growth and service delivery.

Len The Plumber, a Thompson Street Capital Partners portfolio company, has acquired Larry & Sons Plumbing, Heating, Cooling, Drain, and Electrical Services, a residential plumbing and HVAC company based in Hagerstown, Maryland. The add-on deal expands Len The Plumber's service capabilities (plumbing, HVAC, electrical) and footprint in the Mid-Atlantic region; terms were not disclosed.

HomeServe USA has acquired Environmental Systems Associates, Inc. (ESA), a Columbia, Maryland-based residential HVAC contractor with more than 35 employees. ESA's owners Richard Dean and Michael Hendricks will remain with the business as it becomes part of HomeServe's locally branded HVAC network, expanding HomeServe's presence in the Greater Washington, D.C. market.

Thompson Street Capital Partners (TSCP) has partnered with management to acquire Len the Plumber, a full-service residential plumbing and HVAC provider serving the Baltimore–Washington metro area. Terms were not disclosed. TSCP intends to support the company’s growth and execute an aggressive add-on M&A strategy to expand the platform.

Tate Engineering Systems, Inc., headquartered in Baltimore, announced on January 21, 2020 that it has acquired Site Support Services, Inc. (SSS), a Towson-based specialist in precision cooling, power solutions and mission-critical facility services. R. Donald Mellinger, CEO and owner of SSS, sold the business and will continue with the combined organization; terms were not disclosed.
