Logistics & Distribution Acquisitions in Washington

Nexa Equity, a San Francisco-based private equity firm, has made a strategic growth investment in Cedar AI, an AI-powered transportation management system serving railroads and rail shippers. The investment will support Cedar AI’s product development and commercial expansion from its headquarters in Seattle, Washington.

Descartes Systems Group has acquired PackageRoute, a US-based provider of final-mile carrier software, for approximately US$2 million in cash. The acquisition adds PackageRoute's mobile and web-based route optimization, real-time visibility and fleet management capabilities to Descartes' GroundCloud suite to strengthen its final-mile carrier offerings.

Allstates WorldCargo has acquired Red Arrow Logistics, a Seattle-area freight forwarder founded in 2003, to strengthen its Pacific Northwest footprint and expand capabilities in time-sensitive, high-value shipments. Red Arrow will rebrand to Allstates WorldCargo and its CEO Liz Lasater will join Allstates WorldCargo in a senior leadership role to ensure continuity and alignment during integration.

Lineage, Inc. acquired three temperature-controlled warehouses and related assets from Bellingham Cold Storage, representing approximately 24 million cubic feet of capacity and about 85,000 pallet positions across three Washington locations (Bellingham Waterfront, Orchard/I-5, and Burlington Dry). The deal expands Lineage’s Pacific Northwest network and provides a strategic footprint at the Port of Bellingham to better serve seafood, agriculture and broader food & beverage customers.

Stord has acquired ProPack Logistics, a temperature-controlled fulfillment provider serving the nutrition and supplement industry, adding six refrigerated warehouses across the United States and Canada. The deal expands Stord’s omnichannel fulfillment footprint and capabilities, increasing its total fulfillment capacity and accelerating revenue and volume scale for DTC and B2B customers.

Imperial Dade has acquired Insight Distributing, Inc., a two-location distributor serving foodservice customers in Washington and Idaho. The acquisition expands Imperial Dade's coverage in the Western U.S.; financial terms were not disclosed and Insight's longtime owners Ken and Luke Pearlstein will transition ownership to Imperial Dade.

MercuryGate International has acquired International Trade Systems (ITS), a SaaS provider of cross-border customs clearance and global trade management solutions, to integrate customs and trade compliance into its Smart Transportation TMS. The deal adds ITS's customers, technology and more than 40 subject-matter experts to MercuryGate's platform; financial terms were not disclosed.

Flexport has acquired the technology stack of Convoy for an undisclosed sum and will onboard a small group of Convoy product and engineering employees. Flexport is not acquiring Convoy as a company or its liabilities; the deal is intended to restore access to Convoy's trucking network for Flexport customers and to expand Flexport's trucking capabilities.

GSC, a nationwide 3PL headquartered in Oakland, California, has acquired MacMillan-Piper, a long-established specialty transloader operating five facilities near the Ports of Seattle and Tacoma. The deal expands GSC's Pacific Northwest footprint and transloading/warehousing capabilities—adding over 380,000 sq. ft., 80 railcar spots and more than 100 dock doors—while MacMillan-Piper president and former owner Mark Miller will continue to lead the MacMillan-Piper team and join GSC's executive leadership.

48forty Solutions completed the acquisition of the Pallet Recycling Division of Girard Wood Products, a carve-out transaction that expands 48forty’s pallet recycling footprint in the Pacific Northwest. The division, located in Lacey, Washington, includes over 60 employees, nine tractors and more than 175 privately owned trailers; Girard Wood Products will retain its remaining pallet manufacturing business.

Peak Technologies, a portfolio company of Sole Source Capital, has acquired Graphic Label LLC; terms were not disclosed. Graphic Label, headquartered in Yakima, Washington, provides AIDC consumables, hardware, software and on-site services primarily to the food & beverage market — the add-on expands Peak's geographic reach into the Pacific Northwest, strengthens on-site service and label capabilities, and creates cross-selling opportunities.

Crowley has acquired Main Line Inc., a Seattle-based vessel mooring company, in an asset purchase effective Jan. 1. The acquisition expands Crowley’s harbor services capabilities—adding vessel mooring to its ship assist offering for customers calling on the ports of Seattle and Tacoma; Main Line staff are transitioning to Crowley as part of the deal and terms were not disclosed.

Lineage acquired Crystal Creek Logistics, a national last-mile drop-ship order fulfillment provider for frozen and refrigerated goods, to expand its direct-to-consumer temperature-controlled fulfillment capabilities. Financial terms were not disclosed; Crystal Creek’s management team will join Lineage as the company integrates CCL’s five strategic locations and cold-chain expertise into Lineage’s global network.

Bekins Northwest, based in Olympia, Washington, has acquired Merchants Moving & Storage in Bremerton, WA to expand its footprint in Kitsap County and better serve military and local customers. The purchase adds a strategic branch that helps Bekins Northwest cover every military installation in Washington and marks its 11th location in the state.

NFI Industries has acquired SCR Air Services, an intermodal-focused, non-asset transportation brokerage headquartered in Seattle. The deal expands NFI's non-asset intermodal and refrigerated brokerage capabilities and increases its presence in the Pacific Northwest.

Wilson Logistics Inc., a family-owned trucking and logistics company based in Springfield, Missouri, purchased the assets of Haney Truck Line, adding 400 tractors, 1,200 trailers and terminals in Spokane, Yakima and Tumwater, Washington; Boise, Idaho; and Portland, Oregon. The seller was Evergreen Pacific Partners; the acquisition expands Wilson's geographic presence in the Pacific Northwest and adds heavy-haul and specialized flatbed freight capabilities.

American Fast Freight, a portfolio company owned by The Resolute Fund II (managed by The Jordan Company), has acquired Global Transportation Services, Inc., a Kent, Washington–based freight forwarding and 3PL provider. GTS will operate as a subsidiary of AFF with Jason Totah remaining as President and reinvesting in AFF; the deal expands AFF’s geographic footprint and creates a broader global logistics platform.

Svoboda Capital Partners LLC partnered with Dot Family Holdings, LLC to lead a significant equity investment in Reliable Parts Holdings. The capital will be used to fund future growth initiatives and support strategic acquisitions for the Seattle-headquartered appliance parts distributor.
