Software Acquisitions in Georgia

Bentley Systems acquired Talon Aerolytics and the technology and technical expertise of Pointivo to strengthen its Asset Analytics portfolio. The deals (closed in December) expand Bentley's digital twin and AI capabilities for infrastructure asset inspections, drone data processing, and automated damage detection across telecommunications and electric utilities.

Solifi has acquired DataScan, a North American provider of wholesale finance, loan servicing and inventory risk management solutions headquartered in Alpharetta, Georgia. The deal integrates DataScan's RiskGauge audit platform and Onsite services into Solifi's Open Finance Platform to expand its automotive wholesale/floorplan finance and inventory risk capabilities; financial terms were not disclosed.

Banyan Software has acquired WebOps, a surgical inventory management platform serving medical device manufacturers and distributors. The deal adds WebOps' real-time inventory, consignment, and loaner kit management capabilities to Banyan's healthcare software portfolio as an add-on to its existing businesses.

HIPnation acquired Contact Free, an AI-first patient experience technology developed by Band of Coders, to serve as the cornerstone of its AI-native healthcare technology stack. Contact Free CEO Bobby John will join HIPnation as Technology Co-Founder and CTO to lead development of an integrated platform combining member services, EHR and real-time care navigation to improve patient experience and operational efficiency.

Certain affiliates of BetaNXT have acquired Delta Data, a Columbus, Georgia-based provider of operational software for mutual funds, transfer agents and asset managers. The acquisition will integrate Delta Data's capabilities (trade management, mutual fund sub-accounting, transfer agent functionality and revenue/fee management) into BetaNXT's DataXChange to expand its wealth management technology platform.

Equisoft has acquired VisCalc, an Atlanta-based provider of SaaS illustration software for small- to mid-sized life insurance carriers, to expand its end-to-end insurance product suite. The deal strengthens Equisoft's U.S. life insurance footprint and adds an affordable, NAIC-compliant illustration capability for agents and carriers.

National Carwash Solutions (NCS) has acquired AMP Memberships, LLC, a provider of a mobile membership platform and the Clarity point-of-sale system for carwash operators. The acquisition adds AMP's AI/ML-driven SaaS platform, analytics and integrated POS capabilities to NCS's suite of products to enhance operator revenue, loyalty and operational efficiency.

Banyan Software has acquired DRT Performance Tix, a niche ticketing platform founded in 2012 that serves dance studios, schools, and performing arts organizations. DRT, which serves over 2,000 customers across North America and is led by founder and CEO Joshua Olson, will join Banyan’s portfolio of vertical-focused enterprise software businesses to accelerate growth and preserve the company’s founder-led legacy.

Cherry Bekaert has acquired Suite Engine, a Microsoft Dynamics 365 Business Central solutions developer, to expand its technology and consulting capabilities. Suite Engine, headquartered in Lawrenceville, Georgia, brings Microsoft-based ERP, ecommerce, payments and industry-specific solutions to Cherry Bekaert's advisory and technology services.

Valsoft Corporation has acquired ACOM Software, a provider of document management, intelligent workflow, and payment process automation for enterprise ERP platforms. ACOM Software — a portfolio company of ACOM Solutions, Inc. — will be rebranded as ACOM Systems as Valsoft expands its offerings into the document flow automation space to accelerate product development and market presence.

THL Partners has agreed to acquire a majority stake in AMI from HGGC in a private transaction expected to close in fall/Q4 2024. AMI, headquartered in Duluth, Georgia, is a global leader in dynamic firmware used across data centers and cloud platforms and employs over 1,500 engineers; THL says the investment will accelerate product innovation and market expansion to address growing AI and hyperscale infrastructure demand.

Trimble has acquired Flashtract, a construction payments and subcontractor compliance technology provider, integrating its capabilities into Trimble Construction One as "Trimble Pay." Financial terms were not disclosed; the technology will initially integrate with Trimble Viewpoint Vista and is expected to be available in 2024.

Zinnia Corporate Holdings, an Eldridge business, has closed its acquisition of Ebix's North American Life and Annuity assets, which include SmartOffice, Vital Sales Suite, Winflex, AnnuityNet, LifeSpeed, TPP and related consulting services. The assets will form a new Zinnia business line called Life and Annuity Exchange Solutions and add over 770 team members across six locations in the United States and India, expanding Zinnia's insurance technology capabilities.

Axon has acquired Fusus, a provider of real-time crime center (RTCC) software that aggregates live video, sensor and data feeds to improve situational awareness for public safety and commercial customers. The acquisition—building on a strategic partnership begun in May 2022—adds real-time operations capabilities to Axon's product roadmap and supports expansion into retail, healthcare, private security and federal markets; terms were not disclosed.

Atlanta-based digital marketing agency Marketwake has acquired Punchlist, a no-code, visual-first feedback management tool. The acquisition aims to integrate Punchlist's collaboration and creative-feedback capabilities into Marketwake's service offering to improve workflows for clients and scale the product under Marketwake's guidance.

Aurora Payments has acquired NailSoft, a salon management and point-of-sale software platform developed by Dat Nguyen. The acquisition will integrate NailSoft’s vertical salon management capabilities with Aurora’s payment ecosystem to expand distribution and service functionality for salon merchants across the United States.

Band of Coders, LP has acquired Atlanta-based Toolbox No. 9, Inc., a UX/UI design and front-end development firm. The deal brings Toolbox's design expertise into Band of Coders' full-stack engineering services, allowing the combined business to offer end-to-end product design and development capabilities to clients.

Volaris Group has acquired ClickDimensions, a marketing-automation and sales-enablement software provider focused on SMBs, from private equity firm Accel-KKR. ClickDimensions will continue to operate independently and serve its global base of more than 3,000 organizations while leveraging Volaris' operational playbook and resources to accelerate product development and growth.

Banyan Software, a permanent-capital acquirer of niche enterprise software businesses, has acquired Innovatum, a life-sciences-focused labeling software and consulting company. The acquisition brings Innovatum’s ROBAR enterprise label management and regulatory data capabilities into Banyan’s portfolio to accelerate product development and support global life sciences customers.

Aderant has signed a definitive agreement to acquire the assets of viGlobal, a leading people-management software platform for law firms. viGlobal's product suite and employees will join Aderant's front- and back-office solutions to expand its talent management capabilities; financial terms were not disclosed and viGlobal's co-founder Andrew Talpash will continue to consult with Aderant after the acquisition.

Axon has acquired Foundry 45, an enterprise-focused virtual reality studio that develops immersive training applications, integrating the team into Axon's VR group to strengthen its public safety training capabilities. The transaction closed April 5, 2022 and will accelerate Axon's delivery of skills- and scenario-based VR training content for public safety and broader enterprise customers.

GRAITEC, supported by private equity firm Apax, has signed an agreement to acquire Applied Software, a U.S.-based leader in Building Information Modeling (BIM) and computational design. The acquisition (Applied Software: ~130 employees, ~$100M revenue) strengthens GRAITEC's North American footprint and consolidates its partnership with Autodesk to drive commercial synergies and international expansion.

100GROUP has acquired the ReCo Cashiering system from Norton Technologies USA, Inc. The ReCo team will form ReCo LLC (Georgia) and join 100GROUP to integrate the revenue-collections software into 100GROUP’s fintech concierge platform, expanding its capabilities and presence in the government payments market.

TAP Software Holdings, an enterprise software investment vehicle managed by Terminus Capital Partners (with participation from Petrus Asset Management Company), has acquired Delta Data, a pooled investment fund administration software provider, from Accel-KKR. Delta Data — founded in 1985 and serving major banks, retirement recordkeepers, and investment managers — will continue to be led by CEO Whitfield Athey as the buyer invests in product and infrastructure to drive growth.

FoodChain ID, a Berkshire Partners–backed provider of food safety, quality and sustainability solutions, has acquired Verdant, a consulting and SaaS provider that automates compliance, PLM integration and product development workflows for CPG, food & beverage and specialty chemical companies. The add-on expands FoodChain ID's technology-enabled services and accelerates its ability to deliver PLM integrations, compliance automation and product formulation tooling to enterprise customers.

Prometheus Group, a Raleigh-based provider of enterprise asset management (EAM) software, has acquired Ventureforth, an Atlanta-based Oracle partner that builds cloud-based mobile apps and solutions for asset maintenance, supply chain and work management. The acquisition expands Prometheus's mobile and cloud capabilities for Oracle EAM/SCM customers and is the sixth add-on made by Prometheus since its 2019 acquisition by Genstar Capital; financial terms were not disclosed.

Procare Solutions, a leading provider of child care management software, has acquired ChildPlus Software, a specialist in Head Start and early childhood program management. The acquisition expands Procare's product capabilities and extends its reach into federally funded Head Start, EHS, and State Pre-K markets; financial terms were not disclosed.

TA Associates has agreed to make a growth investment in Riskonnect, the integrated risk management software provider, joining majority investor Thoma Bravo which will continue to hold a significant equity stake. The capital will be used to accelerate Riskonnect's product development, go-to-market programs, and global expansion as the company scales its Integrated Risk Management platform.

Uniphore Technologies has completed an all-cash acquisition of Jacada Ltd., a provider of real-time agent assist and contact-center automation solutions. Jacada becomes a privately held company and its team and products will be integrated into Uniphore to expand conversational automation and contact-center capabilities for global customers.

Carrier Global Corporation has signed an agreement to acquire Nlyte Software, a leader in data center infrastructure management (DCIM) software. Nlyte will join Carrier’s Automated Logic Corporation within the HVAC segment to expand Carrier’s data center capabilities, integrate DCIM with building automation, and increase recurring revenues.

JMI Equity has made a strategic growth investment in Incident IQ, a K-12-focused service management platform based in Atlanta. The funding will accelerate product development to expand the platform beyond IT and facilities, grow the team, and bolster customer support, while JMI partner Larry Contrella joins Incident IQ's board.

Liberty Street Capital and CPS Capital have acquired HiQo Solutions, Inc., a technology development firm based in Richmond Hill, Georgia, with Woodbridge International advising on the transaction. HiQo Solutions specializes in Internet of Things (IoT), mathematical data processing, and software development; the buyers are an Atlanta-based family office investment advisor (Liberty Street) and a Toronto-based lower-middle market private equity firm (CPS Capital).

Government Brands, an Alpharetta, Georgia-based provider of government software and integrated payment solutions, announced a recapitalization co-led by growth equity firm PSG and global alternative asset firm TPG. PSG retains its majority stake, TPG becomes a significant minority investor, and Greater Sum Ventures (GSV) exits; proceeds will be used to accelerate technology development and expand the company's government-focused software and payments platform.

Hg has completed an investment in MDT Software, a provider of version control and change management software for automated industrial environments, with the former majority owner (Desco Corporation) exiting. Headquartered in Alpharetta, Georgia, MDT will be aligned with Hg portfolio company Auvesy to form a global partner for industrial automation software; the transaction was made from Hg’s Mercury 3 Fund (terms not disclosed).

Volaris Group has acquired EnvisionWare, a provider of self-service and library efficiency software and systems based in the Atlanta/Duluth, Georgia area. EnvisionWare will join Volaris' library management vertical and continue operating under its existing brand and leadership as part of Volaris' portfolio.

Black Knight, Inc. completed the acquisition of Top of Mind Networks (creator of the Surefire CRM) on July 7, 2021, adding mortgage-specific CRM and marketing automation capabilities to its mortgage technology ecosystem. Top of Mind will join Black Knight’s Origination Software division and be integrated with the Empower LOS and Loan Officer Digital solutions, with the transaction expected to contribute roughly $13 million of incremental revenue in 2021.

Haivision Systems Inc. agreed to acquire CineMassive Displays, LLC for a total consideration of US$30 million (US$15 million in cash and US$15 million in Haivision common shares). The acquisition brings CineMassive's real-time visual collaboration and control-room display technology into Haivision's portfolio to expand mission-critical situational awareness offerings for defense, government, public safety, and enterprise customers.

TekStack Inc. signed an asset purchase agreement to acquire SalesSpark, Inc., a Sales Acceleration app built on the Microsoft Power Platform. TekStack now owns the product, brand and related assets and will integrate the app into its platform and make it commercially available on Microsoft's AppSource for Dynamics 365 for Sales customers.

insightsoftware, a provider of financial reporting and enterprise performance management software, has acquired Izenda, an embedded analytics provider used in thousands of applications. The deal expands insightsoftware’s embedded analytics capabilities—coming shortly after its acquisition of Logi Analytics—and aims to deliver richer in-application reporting and visualization to software teams and ISVs.

Marlin Equity Partners completed a growth investment in TaxSlayer, a value-oriented provider of tax preparation software based in Augusta, Georgia. Marlin said it will provide strategic, financial and operational resources to accelerate TaxSlayer's growth, expand market presence and deliver platform enhancements to its online, desktop and mobile tax-preparation products.

Yardi acquired CommissionTrac, an Atlanta-based revenue-management SaaS for commercial real estate brokerages, and will integrate the platform into its CommercialEdge suite. The CommissionTrac team will continue to support existing clients while contributing its commission, pipeline and invoicing capabilities to Yardi's commercial product offerings.

Personify, a Pamlico Capital‑backed provider of association and nonprofit technology solutions, has acquired MemberClicks, a member management platform serving more than 3,000 client organizations. The acquisition expands Personify’s purpose-built platform coverage for associations, chambers and member-based organizations and will integrate MemberClicks’ team and products into Personify’s combined sales and marketing organization.

Valsoft Corporation, a Montreal-based acquirer of vertical market software businesses, has acquired WiSys, a Marietta, Georgia–headquartered provider of warehouse management solutions. WiSys CEO Michael Hollinger will remain in place as the company is integrated into Valsoft’s portfolio as part of Valsoft’s entry into the warehouse management vertical.

J.F. Lehman & Company, through an investment affiliate, has acquired CodeMettle, LLC in partnership with the company's founders and management. CodeMettle, headquartered in Atlanta, provides proprietary and custom software for management of critical communication networks used by defense, government and commercial customers; JFLCO said the acquisition will accelerate CodeMettle's growth in defense and government markets.

SightPlan, a multifamily service management software provider, has acquired InfoTycoon, a digital due diligence and inspections specialist for multifamily real estate. The acquisition will integrate InfoTycoon's due diligence and inspection capabilities into SightPlan's service platform to expand lifecycle and transaction support for multifamily owners and operators.

Next Glass, the owner of Untappd and BeerAdvocate, has acquired Oznr (formerly CraftCellr), an Atlanta-based direct-to-consumer technology provider for craft beverage producers. The acquisition will integrate Oznr's pre-order, membership and release-management capabilities into Next Glass's platforms and support investment in the Oznr team and product expansion.

Spectrio, a portfolio company of Bertram Capital, has acquired Senior Living Media, an Osborn Company, expanding Spectrio’s senior-living engagement offerings with enhanced content creation and software tools. The add-on acquisition augments Spectrio’s digital signage and resident engagement capabilities and represents the tenth transaction completed during Bertram’s ownership of Spectrio.

Aptean announced that funds affiliated with Charlesbank Capital Partners will make a strategic growth investment, joining existing investors TA Associates and Vista Equity Partners; TA Associates will also make an additional investment. The funding will support increased investment in innovation and accelerate Aptean's global expansion; the transaction was expected to close in Q3 2020 pending regulatory approvals.

Swiftcurrent Holdings, an affiliate of ESW Capital, acquired Conarc, Inc., a Georgia-based developer of client management and content collaboration software (including its iChannel product). The deal brings Conarc's CRM, workflow and file management solutions into ESW's portfolio to expand capabilities across finance, real estate, healthcare and insurance end markets.

MINDBODY, Inc. acquired ZeeZor, an Atlanta-based real-time employee performance analytics and staff engagement platform, to add staff benchmarking and engagement tools to its wellness technology platform. The acquisition (announced March 4, 2020) accelerates MINDBODY's product roadmap by integrating ZeeZor’s real-time performance metrics and gamification capabilities into its salon and spa software ecosystem.
