Environmental Services Acquisitions in California

Bennett West (a Pike Street Capital portfolio company) made a strategic add-on investment in California Water Services (CWS), a Coalinga, California provider of irrigation and municipal water treatment services, including its Green Leaf Ag division. The deal expands Bennett's water-treatment and irrigation capabilities across California's Central Valley and aligns with Pike Street Capital's sector-focused add-on strategy to broaden platform services and accelerate organic growth.

ALL4 LLC, a portfolio company of Levine Leichtman Capital Partners, has acquired VCS Environmental, a San Juan Capistrano, California-based environmental consulting firm. The acquisition expands ALL4's wetlands, endangered species permitting, biological, cultural resource, and CEQA/NEPA capabilities and strengthens its presence in California.

St. Louis-based private investment firm Broadview Group announced an investment in Citadel EHS, a Glendale, California–based environmental, health, safety, and sustainability (EHS&S) consulting firm. Citadel’s existing leadership will remain in place and the partnership is intended to provide capital and resources to accelerate growth, broaden capabilities, and support geographic expansion; Citizens Capital Markets & Advisory served as exclusive financial advisor to Citadel.

Trinity Consultants has acquired Meridian Consultants LLC, a California-based environmental and natural resource planning firm, to expand its CEQA, NEPA, and land use services across California and the Western U.S. Meridian’s leadership team will remain in place and the firm will operate within Trinity’s environmental consulting business to strengthen regulatory review, permitting, and land-use planning capabilities.

Integrity Landscape Corporation, a portfolio company of Galaxi Group, has acquired Serpico Landscaping of Hayward, California. Seacoast Capital provided redeemable preferred stock to support the transaction and White Oak Global Advisors provided unitranche financing; terms were not disclosed. The acquisition expands Integrity's geographic and service footprint across the Bay Area.

Verdantas, a Sterling Investment Partners-backed environmental consulting platform, has acquired Colibri Ecological Consulting, LLC, a California-based ecological planning and regulatory permitting firm. The add-on expands Verdantas' presence and ecological capabilities in California's Central Valley to better serve public agencies, utilities, and private clients.

San Diego-based private equity firm Verde Equity Partners has acquired English Garden Care, a Sacramento-area landscaping and garden management services provider. The deal is structured as an add-on to Verde's property services platform (Verde Property Services) and was supported by debt financing from Mizzen Capital.

SePRO Corporation has acquired Arietta.ai, a San Ramon, California-based artificial intelligence company, to form the foundation of a new SePRO Digital division focused on digital water management. The Arietta.ai team will join SePRO on September 1, with co-founder Tim Howard becoming SePRO's Chief Digital Officer as SePRO integrates Arietta.ai's algorithms and data capabilities to accelerate its water health management offerings.

CERTUS Pest has acquired Bell Pest Control, a family-founded pest control company serving the suburban Sacramento, California area. The acquisition expands CERTUS' West Coast footprint; Bell will retain its brand and office while customers gain access to CERTUS' broader resources and service offerings.

Verdantas, a portfolio company of Sterling Investment Partners, acquired Independent Solutions, Inc., a Lake Elsinore, California-based inspection and soil/materials testing firm focused on healthcare projects. The add-on expands Verdantas' presence in Southern California and enhances its geotechnical, inspection, 3D scanning, and materials testing capabilities for the healthcare market.

Brown and Caldwell has acquired Separation Processes, Inc. (SPI), a membrane technology consulting firm, to strengthen its membrane technology services across drinking water, reuse, wastewater and industrial water markets. SPI's engineers and consultants will join Brown and Caldwell to provide integrated design, pilot testing, operations support and membrane O&M expertise.

CERTUS Pest has acquired Elite Pest Management, a Southern California pest control company servicing Los Angeles, Orange, Riverside and San Bernardino counties. Elite will be integrated into CERTUS's PURCOR Pest Solutions Riverside branch to strengthen CERTUS' presence in the Greater Los Angeles / Inland Empire region.

Verdantas, a portfolio company of Sterling Investment Partners, has acquired Surf to Snow Environmental Resources Management, Inc. (S2S), a San Ramon, California-based environmental consulting firm with ~90 staff. The add-on expands Verdantas' technical capabilities in stormwater management, permitting, biological analysis and water resources while increasing its geographic footprint across the western United States, particularly in the Bay Area and power utilities market.

Align Capital Partners completed a growth investment and recapitalization in Strata Landscape Services, a commercial landscaping platform headquartered near Los Angeles. Concurrently, Strata acquired Utah-based Boulder Landscaping from owner Wray Dix as an add-on to expand Strata's presence and capabilities in the Western U.S.

Trinity Consultants has acquired Zanjero Inc., a California-based water resources and planning consultancy, to strengthen Trinity's Water & Ecology practice. Zanjero will operate as a business unit within Trinity's Water & Ecology division, with its leadership team remaining in place to expand service capabilities and geographic reach across the Western U.S.

True Environmental, a Halle Capital‑backed environmental consulting and engineering platform, has acquired Padre Associates, a Ventura, California‑based natural resources and geoenvironmental services firm. The add‑on expands True’s technical capabilities and geographic footprint while supporting Padre’s ownership transition and accelerating growth through True’s capital and operational resources.

Boulder-based Integral Consulting Inc. has acquired Kinnetic Environmental, Inc., a Los Alamitos, California firm specializing in water and sediment quality studies, dredged materials investigations, and related permitting and monitoring services. The deal brings KEI’s marine and freshwater expertise into Integral’s science and engineering platform to expand water and sediment quality assessment and monitoring capabilities for government and industry clients.

Ancor Capital Partners, a Dallas‑area private investment firm, announced an investment in CEAR, LLC, a Mather, California–based electronics recycling and IT asset disposition (ITAD) provider. The undisclosed transaction will support CEAR’s service expansion, innovation and scaling as Ancor expands its sustainability and environmental services platform.

Cleanwater1, a Baird Capital–backed water technologies platform, has completed the acquisition of Integrity Municipal Systems (IMS), a designer and supplier of packaged lime slaking, chemical feed, odor control and related process systems for municipal and industrial water/wastewater customers. The deal expands Cleanwater1’s engineered solutions and service capabilities for lime systems, odor control and chemical feed systems.

ICV Partners has acquired a significant ownership interest in Environmental Remedies, LLC (ERI), a California-based residential asbestos abatement service provider. ICV will support ERI's growth through infrastructure investment, leadership development, geographic expansion and acquisitions, with financing provided by Stellus Capital Management.

Verdantas, a digitally enabled environmental and engineering consulting firm backed by Sterling Investment Partners, has acquired M-H-M, Inc. (MHM) of Marysville, California. The acquisition expands Verdantas' water, land development and surveying capabilities in northern California and strengthens its relationships with municipalities, public agencies and private clients in the region.

Mariani Premier Group has acquired Liliput, a Culver City–based landscaping firm founded in 2003, marking the group's first entry into California and the 25th company to join its platform. Liliput specializes in residential landscape services across Los Angeles County (including Beverly Hills, Bel Air and Santa Monica) and will operate as part of Mariani's national outdoor living platform.

Certus Pest has acquired Aardvark Ant & Pest Control, a San Diego County pest-control company, and will operate the business under the Purcor Pest Solutions brand. The acquisition expands Certus' footprint in Southern California and gives Aardvark customers access to additional services such as termite control and prevention.

Verdantas, a Sterling Investment Partners–backed environmental science and engineering firm, has acquired cbec eco engineering to expand its water resources and ecological restoration capabilities in the Western United States. The acquisition brings roughly 40+ water-resources and restoration specialists into Verdantas, strengthening its coastal, estuarine, riverine and wetland service offerings in California and beyond.

True Environmental, a Halle Capital-backed environmental services platform led by Jim Stamatis, has acquired Great Ecology & Environments, Inc., a full-service ecological consulting and landscape architecture firm. The deal expands True's environmental consulting and engineering platform, adding Great Ecology's restoration, planning and design capabilities and offices (Great Ecology's founder Dr. Mark Laska will remain as President).

Verde Property Services, the operating platform of San Diego-based private equity firm Verde Equity Partners, has acquired the maintenance division of Coast Landscaping, a commercial landscaping firm based in Vista, California. The add-on expands Verde's Southern California commercial landscaping footprint and adds Coast's sustainable, all‑electric equipment capabilities to Verde's platform.

Kian Capital Partners made a strategic growth investment in Diamond Landscaping, partnering with founder and CEO Brian Diamond in December 2021 to build a luxury residential landscaping platform. Since the partnership, Diamond Landscaping has nearly tripled revenue and EBITDA and completed five strategic add-on acquisitions to expand its footprint in Los Angeles, Santa Barbara, the Hamptons and Jackson Hole.

Verde Property Services, the operating arm of San Diego-based private equity firm Verde Equity Partners, has acquired LaBahn's Landscaping, a commercial landscape and property maintenance provider in Southern California. The add-on acquisition expands Verde's commercial landscaping platform, strengthens its service offerings across Southern California, and was supported by a credit facility from Mizzen Capital.

Certified Waste Solutions, a portfolio company of Broadview Group Holdings and EXI Investment Partners, has acquired Waste Control Associates, Inc., a managed waste and recycling services provider based in Costa Mesa, California. The add-on expands Certified's presence and service capabilities across Southern California, bringing Waste Control's managed waste, outsourced recycling and equipment services into the Certified platform.

Apex Companies, LLC has acquired Storm Water Inspection & Maintenance Services, Inc. (SWIMS), a California-based stormwater services firm with more than 100 employees and two offices in Brentwood and San Juan Capistrano. SWIMS will operate as part of Apex’s national stormwater platform, preserving its management team while expanding Apex’s stormwater, erosion control, dewatering, and stormwater construction capabilities in California.

Lodi, California-based Clark Pest Control of Stockton, Inc. has acquired Nexgen Exterminating, Inc., a Southern California pest management provider headquartered in Anaheim. Nexgen's CEO Brian Patrick MacQueen will join Clark's team as the acquisition expands Clark's footprint across Los Angeles, Orange, Riverside and San Bernardino counties.

Legence, a Blackstone portfolio company and North American provider of energy efficiency and sustainability solutions, has acquired Corporate Sustainability Strategies (CSS), a Huntington Beach‑based commercial real estate sustainability consulting firm led by Brenna Walraven. The acquisition will integrate CSS into Legence's RE Tech Advisors business to expand sustainability advisory capabilities, client relationships, and service offerings across the built environment.

Verdantas, a private-equity-backed environmental consulting and engineering firm, has acquired Project Navigator, Ltd. (PNL), a specialist in CERCLA/Superfund project coordination and remediation project management. The acquisition expands Verdantas' capabilities in CERCLA/RCRA program management, data-driven visualization and solar project development on remediated sites while broadening its geographic footprint in the Western U.S. and Gulf Coast.

San Diego-based private equity firm Verde Equity Partners has acquired Green-Tech Landcare, a commercial landscaping provider in Southern California. The deal is the third transaction in Verde's planned vertical roll-up strategy to consolidate owner-operated commercial landscape companies across the Western U.S.; Green-Tech's founder Tom Bjorstrom will remain to support integration.

Timoneer Strategic Partners acquired a majority ownership stake in Solid Restoration, a Escondido, California-based disaster restoration services provider. Grays Peak Capital, Phoenix3 Holdings and a consortium of high-net-worth investors co-invested alongside Timoneer to support Solid Restoration's growth and geographic expansion across Southern California and beyond.

BMS CAT, the disaster recovery and restoration division of Blackmon Mooring, has acquired DryMaster, a Mission Viejo-based restoration services firm founded in 2010. The acquisition expands BMS CAT's Southern California footprint and enhances its water, fire, mold/asbestos remediation, and contents restoration capabilities for residential and commercial customers.

Clark Pest Control has acquired Oxley Pest Control, Inc., a Bakersfield, California-based pest management provider founded in 1994. Oxley's 11 full-time employees and residential and commercial customers will be integrated into Clark's Bakersfield service center; Clark is part of the Rollins, Inc. family of pest-management businesses.

Orangewood Partners, a New York-based private investment firm, has made a strategic growth investment in SERVPRO West Coast DRT (WCDRT), a leading SERVPRO franchisee headquartered in Encino, California. The capital will be used to accelerate growth across business lines and geographies while WCDRT’s founders and management retain meaningful equity and continue to lead the business.

Bowman Consulting Group Ltd. has acquired Davis, California–based environmental sciences and engineering firm Blankinship & Associates. The transaction, financed with cash, seller notes and equity, brings Blankinship's staff into Bowman and is expected to be immediately accretive with an initial annualized net service billing run rate of about $3.0 million.

HighGround Restoration Group, a Trivest-backed national restoration platform, has acquired Superior Restoration, a Southern California water, mold and fire restoration services provider headquartered in Lake Elsinore, California. The add-on expands HighGround's footprint and density in Southern California while retaining Superior's founder and team to support continued growth.

Verde Equity Partners, a San Diego-based private equity firm, has acquired Steven Smith Landscape, a commercial landscape and property maintenance company serving Southern California for over 40 years. The deal expands Verde's vertical roll-up platform in North County San Diego as the firm continues consolidating owner-operated landscaping businesses across the Western U.S.

San Diego-based private equity firm Verde Equity Partners has acquired Juniper Landscape, a commercial landscaping and property maintenance company operating in Southern California. Verde named Tom Heaviland as CEO and operating partner of the platform and said the deal is part of a vertical roll-up strategy to pursue additional commercial landscaping acquisitions across the U.S. Southwest.

HCAP Partners, a California-based private equity and impact investor, has made an undisclosed investment in Flume, Inc., a San Luis Obispo-based maker of smart home water monitoring devices and software. The capital will support Flume's market expansion and continued product innovation to advance residential water monitoring and conservation efforts.

TRC Companies, Inc. acquired Gladstein, Neandross & Associates (GNA) to expand its Climate Solutions offerings with sustainable transportation consulting, fleet electrification, incentive-grant expertise and event capabilities. GNA, based in Santa Monica, California, brings proprietary tools (Funding 360), marketing/event services (ACT Expo) and deep experience in low- and zero-emission commercial transportation to TRC's energy and infrastructure platform.

Alpine Investors launched Axia Water, a dedicated water services vertical within its AlpineX platform, and announced an inaugural partnership with Madera Pumps, a California-based pump and well services provider. Under the agreement Madera Pumps will continue to operate independently while receiving capital, operational support and access to shared resources to scale its business; terms were not disclosed.

RMA Companies, a portfolio company of OceanSound Partners, has acquired A.J. Edmond Company, a provider of inspection, mechanical sampling and ISO 17025‑accredited laboratory testing for petroleum coke, coal and other solid fuel byproducts. The acquisition expands RMA’s testing, inspection and certification capabilities—adding analytical chemistry capacity and strategic port‑side laboratories to support petrochemical and other industrial end markets. Terms were not disclosed.

Mast, the newly-formed parent company of DroneSeed, has acquired California-based Cal Forest Nurseries and seed supplier Siskiyou Seed to vertically integrate its reforestation supply chain. The acquisitions secure seed and seedling supply to scale Mast's post-wildfire reforestation projects and expand its ability to generate high-quality carbon removal credits.

GreenWaste, a San Jose–based resource recovery and recycling company, acquired the assets of Hayward Transfer Station, a construction and demolition (C&D) transfer station in Hayward, California. The acquisition — GreenWaste's first since being acquired by a fund managed by Macquarie Asset Management — will expand service offerings and divert C&D material to GreenWaste's San Jose processing facilities to increase recycling and certified diversion.

Environ Energy has acquired ISOS Group, a San Diego–based ESG disclosure and sustainability reporting firm, to expand its sustainability and carbon reporting capabilities. The transaction was completed with support from growth investor 424 Capital, and ISOS will operate as a division within Environ to bolster the firm's ESG reporting, assurance, and verification services.

Citadel EHS, a Southern California-based environmental, health, safety and sustainability consulting firm, has acquired RMD Environmental Solutions, a Bay Area environmental consulting firm specializing in subsurface investigation and remediation. The acquisition expands Citadel's geographic reach into the San Francisco Bay Area and strengthens its remedial engineering and subsurface remediation capabilities.
