Environmental Services Acquisitions in Pennsylvania

Brentwood Associates partnered with Tenex Capital Management to complete an equity recapitalization of Perennial Services Group, a multi-brand home services platform headquartered in Pittsburgh, Pennsylvania. The recapitalization will keep Perennial's management as significant shareholders and is intended to support continued organic growth and execution of the company's add-on M&A strategy across lawncare, pest control, landscaping and arbor services.

Wind River Environmental has acquired Keystone Wastewater Services, a 20+ year grease pumping and drain cleaning specialist operating in central Pennsylvania, Ohio, and Maryland. The acquisition expands Wind River's service footprint around Loretto, Pennsylvania and strengthens its commercial grease and wastewater service capabilities in the mid-Atlantic region.

Integral Consulting Inc., a Boulder-based environmental science and engineering firm, has acquired Brownfield Science & Technology, Inc. (BSTI), a Cochranville, Pennsylvania environmental consulting and remediation specialist. The acquisition expands Integral’s Mid-Atlantic presence and integrates BSTI’s remediation, compliance, natural resource management, and data-analytics capabilities into Integral’s service offering.

Wind River Environmental has acquired M&S Septic Services (Matamoras, PA) and Fenkner Septic Services (Greentown, PA) to expand its septic, grease and wastewater service footprint in Pennsylvania. The deal adds local capabilities for septic pumping, installations, inspections, repairs and drain/grease cleaning as add-on locations to Wind River's existing platform.

LawnPRO Partners, a lawn-care platform backed by HCI Equity Partners, has acquired Green Machine Lawn Care, a family-owned provider of lawn, tree and pest services serving Eastern Pennsylvania for more than 40 years. Co-presidents Kevin and Karl Swinski will remain with the business; the deal adds density to LawnPRO's Pennsylvania footprint as an add-on to its platform.

Veolia has agreed to purchase CDPQ’s remaining 30% stake in its subsidiary Water Technologies and Solutions (WTS) for $1.75 billion, giving Veolia full ownership. The move is intended to simplify the Group structure, unlock ~€90m of run-rate cost synergies by 2027, and accelerate value creation and growth in water technologies, particularly in priority markets such as the United States, semiconductors and pharmaceuticals.

PURIS, a water-infrastructure platform and portfolio company of an investment affiliate of J.F. Lehman & Company, has acquired Creekside — operating through its Insight Pipe and IPC Services brands — a trenchless pipeline rehabilitation and environmental services provider based in Harmony, Pennsylvania. The deal is PURIS' first strategic acquisition since the JFLCO-led recapitalization of the business in 2024 and expands PURIS' capabilities across wastewater, stormwater and potable water pipeline rehabilitation in the Mid-Atlantic and Midwest.

Levine Leichtman Capital Partners (LLCP) has acquired ALL4 from JMH Capital Partners in a transaction in which ALL4 management remains a significant equity holder. ALL4 is a regulatory-driven environmental, health & safety (EH&S) consulting firm headquartered in Pennsylvania that operates across the U.S., Europe and Latin America; LLCP said it will support ALL4's growth through organic initiatives and M&A.

LawnPRO Partners, a residential lawn care platform backed by HCI Equity Partners, has acquired Green Image Lawn Care, a York and Lancaster, Pennsylvania-based provider of lawn care, fertilization, tree & shrub and pest control services. The transaction — LawnPRO's tenth acquisition — will keep founders Luke Zimmerman and Ryan Freed in leadership roles; terms were not disclosed.

Align Capital Partners (ACP) has acquired MKB Company, a U.S. manufacturer of erosion control, pollution prevention and stormwater management products. MKB operates 17 facilities across 14 states with over 220 employees; ACP plans to support national expansion and pursue continued M&A to grow the platform.

Verdantas, a Tampa-based environmental and engineering consulting firm backed by Sterling Investment Partners, has acquired Groundwater Sciences Corporation (GSC). The acquisition expands Verdantas' groundwater, hydrogeology and remediation capabilities and strengthens its local presence in Pennsylvania and New York to better connect its MidAtlantic and New England operations.

Garnett Station Partners, a New York-based private investment firm, has made a strategic growth investment in Bristol Environmental, a Bristol, Pennsylvania-based provider of environmental remediation, abatement, selective demolition, and disaster recovery services. The capital will support Bristol's expansion of talent, infrastructure, and technology as the firm scales its operations across its five branch locations.

Sage Sustainable Electronics, a portfolio company majority‑owned by Closed Loop Partners, has acquired Relectro, a national electronics repair, refurbishment and logistics provider. The add-on acquisition — backed by a follow-on investment from Closed Loop Partners' buyout group — expands Sage's ITAD platform with depot repair capabilities from Relectro's 40,000 sq. ft. Telford, Pennsylvania facility and its capacity to repair >25,000 devices annually.

LawnPRO Partners, a residential lawn care platform backed by HCI Equity Partners, has acquired LawnRx, a Latrobe, Pennsylvania-based provider of lawn care treatment, tree & shrub and pest control services. The deal — LawnPRO's fifth acquisition — expands the platform's presence in Pennsylvania (its third in the state and second in the Pittsburgh area); financial terms were not disclosed and LawnRx owner Bruce Love will remain to run day-to-day operations.

TIGRIS Aquatic Services, a Plexus Capital‑backed provider of stormwater management services, has acquired Natureworks (Clearwater Associates, Inc.), a Pennsylvania‑based lake and pond management and fountain distribution business. The deal expands TIGRIS’ footprint and capabilities across Pennsylvania, New Jersey, Delaware and Maryland while adding dealer and repair capabilities for aeration and fountain equipment.

Newterra Inc. has acquired the assets of Carbon Service and Equipment Company (CSEC) from Encotech Inc., expanding Newterra’s activated carbon services, rentals, and media supply capabilities. The acquisition adds CSEC’s capabilities in Pittsburgh, South Carolina, and Florida and strengthens Newterra’s potable water, wastewater, remediation, and industrial offerings.

Juniper Landscaping has acquired Davis Landscaping, a commercial landscaping maintenance and installation provider with operations in North Carolina, South Carolina and Pennsylvania. The acquisition expands Juniper's footprint to 33 branch locations across five states and strengthens its presence in the Carolinas and Pennsylvania as part of its platform growth backed by financial partner Bregal Partners.

Insight Equity Holdings LLC has acquired Atmos Technologies, a Newtown Square, Pennsylvania-based specialty materials company that supplies foam-based daily cover products, odor control solutions, and modular leachate treatment systems for landfill and infrastructure applications. Insight Equity partnered with co-investors Trinity Investors, Cortes Capital, and Prudential Private Capital to support Atmos' next stage of growth and expand its market presence in waste and infrastructure end markets.

Shamrock Environmental, a CenterOak Partners portfolio company, has acquired JG Environmental, adding waste processing and disposal capabilities in Lancaster, Pennsylvania and more than 50 employees. The deal is Shamrock's fifth acquisition since 2020 under CenterOak ownership; terms were not disclosed.

Diversified Maintenance, a Tampa-based facility maintenance provider, has acquired Facility Concierge Services, a woman-owned commercial cleaning company serving Central Pennsylvania led by Mary Calverley. The acquisition expands Diversified Maintenance’s footprint and service capabilities in Pennsylvania across commercial, medical office, and educational facilities.

Beneficial Reuse Management (BRM) has acquired USA Gypsum (USAG), a Denver, Pennsylvania-based drywall recycler. The acquisition expands BRM’s gypsum sourcing and recycling capabilities and broadens its geographic footprint, enabling combined operations to market over 1.5 million tons of industrial by-products annually to agricultural and industrial customers.

Tecum Capital, alongside Glen Oaks Capital, Five Points Capital and SharpVue Capital, has made a strategic capital investment in The Lewis Group, a provider of environmental remediation, emergency response and property/industrial maintenance services. CEO Rick Lewis remains the company’s largest shareholder and management will continue to run the business; the capital will support organic growth, geographic expansion and selected add-on acquisitions.

NewSpring Franchise, the franchise-focused strategy of private equity firm NewSpring, completed a controlling investment in Green Home Solutions, a franchised residential and commercial mold remediation and indoor air quality services provider. The capital will support national expansion across new markets and the launch of additional services to broaden the company's indoor air quality offerings.

HCI Equity Partners made a majority investment in Custom Lawn Care, Inc., a family-owned lawn care and pest control services provider based in Butler, Pennsylvania. The deal is the second add-on to HCI's lawn care treatment platform (which includes Grasshopper Lawns, Inc.) and expands the platform's presence into the Pittsburgh metro; founders Rick and Robb Ritenour will remain to run day-to-day operations.

Diversified Maintenance has acquired 3B Cleaning & Floor Care Service, a commercial cleaning and floor-care provider based in Catawissa, Pennsylvania, to strengthen its presence in Central Pennsylvania. The transaction brings the locally established, family-run business into Diversified's national facilities maintenance platform to expand market share, customer base and service capabilities in the region.

The Riverside Company, via its Micro-Cap Fund (RMCF), has invested in Mold Medics, a Pennsylvania-based franchisor specializing in mold removal and air duct cleaning. The acquisition is an add-on to Riverside's Threshold Brands platform and will support franchise sales, marketing and geographic expansion of Mold Medics' franchise network.

ChemREADY, a Twinsburg, Ohio-based provider of industrial water and wastewater treatment chemicals, equipment and services, has acquired Waterra Corporation of Wexford, Pennsylvania. The acquisition fills a geographic coverage gap for ChemREADY in western Pennsylvania and expands its market share in eastern Ohio while retaining Waterra's president Michael Spence to support the transition.

System One has acquired Pittsburgh-based RPG Resources, an environmental services firm that provides environmental compliance, UAS/data collection, and inspection services to oil & gas, renewable energy, and telecom customers. The acquisition broadens System One’s critical-infrastructure service offerings and enhances its environmental services capabilities; RPG Resources will retain its brand and be integrated over time.

Diversified Maintenance, a Tampa-based facilities maintenance provider, has acquired Millers Cleaning Services, a commercial cleaning and janitorial company based in central Pennsylvania. The deal (sellers: Steve and Ann Miller) strengthens Diversified's presence in Pennsylvania and aims to expand service capabilities and customer growth across multiple verticals.

Wind River Environmental, a PE-backed environmental services consolidator, has acquired Captain Clog, a family-owned drain-cleaning and wastewater services business based in Temple, Pennsylvania. The add-on expands Wind River's service offerings and local presence in central Pennsylvania alongside its All American Septic operations.

Orion Group (backed by Alpine Investors) acquired Sauers Tree & Landscape Service, Inc., which does business as Sauers Snow & Ice Management, closing on June 16, 2022. The acquisition gives Orion a major presence in the eastern U.S. commercial snow, ice and landscape services market and expands its national facilities-services platform.

Montrose Environmental Group, Inc. (NYSE: MEG) acquired Environmental Standards, Inc., an environmental consulting firm founded in 1987 and headquartered in Valley Forge, Pennsylvania. The acquisition (terms not disclosed) expands Montrose's chemistry and auditing capabilities and integrates Environmental Standards' leadership, including founder and CEO Rock Vitale, into Montrose's Assessment, Permitting & Response segment.

PennSpring Capital has acquired a majority interest in Lancaster, Pennsylvania–based EHC Associates, a 30-year environmental services firm offering environmental consulting, asbestos and lead abatement, mold remediation, demolition and related services. The investment is intended to position EHC for accelerated growth and institutional-scale expansion under PennSpring's stewardship.

Quest Resource Holding Corporation (NASDAQ: QRHC) has acquired RWS Facility Services from Atar Capital. The transaction brings RWS’s asset-light waste management, commodity recycling and facility services capabilities into Quest’s national platform to expand service offerings and customer reach across retail, QSR and real-estate end markets.

Wind River Environmental, backed by Gryphon Investors, has acquired Koberlein Environmental Services, a septic and non-hazardous liquid waste services provider headquartered in Honesdale, Pennsylvania. The deal adds Koberlein’s three locations, more than 20,000 residential, commercial and municipal customers, and roughly 45 employees to Wind River’s platform to expand local service in New York and eastern Pennsylvania.

Thompson Street Capital Partners’ portfolio company PestCo Holdings, LLC acquired the assets of Presto Pest Control, Inc., a Telford, Pennsylvania-based commercial pest control provider focused on the restaurant industry. The deal is PestCo’s first add-on as it pursues a consolidation strategy in the fragmented pest control market; terms were not disclosed.

VLS Recovery Services, a portfolio company of Aurora Capital Partners, has acquired Environmental Recovery Corporation (ERC) from Rock Island Capital. ERC — based in Lancaster, Pennsylvania — will operate within VLS's Waste division to expand VLS's wastewater treatment and industrial waste management capabilities and extend its footprint in the Mid-Atlantic and Midwest.

SavATree has acquired Pennsylvania-based Giroud Tree and Lawn and will convert the business into a new SavATree branch in Huntingdon Valley to serve the greater Philadelphia area. The deal expands SavATree’s Southeastern Pennsylvania footprint to three offices and brings Giroud principals Lou Giroud and Drew Slousky and their team into SavATree’s branch network.

Tecum Capital Partners and Expedition Capital Partners led a majority recapitalization of BP Business Solutions, partnering with CEO Lou Pellegrino and management, who retained meaningful ownership. The investors will provide growth capital to accelerate BP's expansion (including potential strategic add-on acquisitions), broaden in-house equipment rental offerings, and support national growth of the company's asset-light managed waste, recycling and facilities services.

Treeways, a vegetation-management platform backed by NMS Capital, has partnered with Hazlett Tree Service, Inc. in a recapitalization transaction. Hazlett, a Pennsylvania-based vegetation management services provider to electric utilities and cooperatives, becomes the third add-on to the Treeways platform to expand its regional utility services presence.

BMS CAT (Blackmon Mooring & BMS CAT) has acquired Mellon Certified Restoration, adding six locations and strengthening BMS CAT's presence in Eastern Pennsylvania. The deal is part of BMS CAT's ongoing acquisition strategy to expand its national restoration footprint; Mellon leadership (Jim Mellon) will remain in a leadership role following the transaction.

TRC Companies Inc. has acquired Shoener Environmental, a Pennsylvania-based environmental consulting firm that supports permitting and development for renewable energy and greenfield projects. The deal brings roughly 20 environmental and engineering experts into TRC and bolsters TRC's renewable energy, ecological, and permitting capabilities across multiple U.S. markets.

ALL4, a portfolio company of JMH Capital Partners, has acquired Environmental Strategy Consultants, Inc. (ESC), a Philadelphia-based environmental consulting firm founded in 1986. The acquisition expands ALL4's Philadelphia-region capabilities in air permitting, monitoring and EHS compliance and strengthens its regional environmental program management offering.

TRC Companies, a Windsor, Connecticut–based engineering and environmental consulting firm, has acquired 1Source Safety and Health, a specialized industrial hygiene and safety management consultancy based in Exton, Pennsylvania. The acquisition brings ~25 certified industrial hygienists and safety professionals into TRC, expanding its building sciences, industrial hygiene and environmental health & safety capabilities and strengthening its presence in Pennsylvania.

Alliance Holdings, the environmental services platform backed by Align Capital Partners, has acquired Blue Mountain Environmental Management Corporation. The deal expands Alliance’s air emissions (stack) testing and LDAR capabilities in the Northeastern and Midwestern United States as part of its ongoing add-on buildout to create a national emissions testing platform.

Frontenac Company has acquired Newterra Group Ltd., a global designer, engineer, manufacturer and servicer of modular water and wastewater treatment systems, from existing shareholders including XPV Water Partners and Angeleno Group. Financial terms were not disclosed; Newterra's CEO Tom Vossman and the executive team will remain in place and Jim McGivern will join the board as Frontenac supports the company's continued organic and inorganic growth.

Authority Brands, a Columbia, Maryland-based franchising platform, acquired Monster Tree Service, a leading U.S. residential tree care franchisor. The deal expands Authority Brands' home-services portfolio and brings Monster Tree Service's network of more than 200 territories into the platform; financial terms were not disclosed.

Wind River Environmental, a Gryphon Investors-backed environmental services platform based in Marlborough, Massachusetts, has acquired FRANC Environmental, a liquid waste and septic services provider in Ivyland, Pennsylvania. The deal expands Wind River's footprint and capabilities in the greater Philadelphia / Mid-Atlantic market and brings FRANC's owners into Wind River's leadership team.

Rusmar Inc., a subsidiary of CCR Specialty Chemicals (a portfolio company of Palo Duro Capital), has acquired NCM Odor Control, Inc., a Broadheadsville, Pennsylvania–based provider of odor neutralizers and perimeter misting/vaporization systems. The acquisition will integrate NCM's odor-control products and service capabilities into Rusmar/CCR's environmental solutions offering for landfill operators, remediation specialists and related end markets as an add-on to the CCR platform.

BMS CAT (Blackmon Mooring & BMS CAT) has acquired FireDEX of Pittsburgh, a local fire and water restoration provider based in Pennsylvania. The deal expands BMS CAT's national footprint in the Northeast and is part of a series of add-on acquisitions to grow the company's service map and capabilities.
