Staffing & HR Acquisitions in 2018

Staffing 360 Solutions (Nasdaq: STAF) acquired Key Resources, Inc., a Greensboro, North Carolina-based staffing firm specializing in distribution and supply chain personnel. The acquisition expands Staffing 360's commercial staffing presence in the Carolinas and is expected to add approximately $35 million of annual revenue to the company.

AMN Healthcare Services, Inc. acquired Phillips, DiPisa & Associates, Inc. (PDA) and Leaders For Today, LLC (LFT) for a base purchase price of $30 million plus up to $7 million in potential earnouts. The two sister firms, which provide executive search and interim leadership staffing to healthcare delivery organizations, expand AMN’s leadership placement and interim management capabilities across hospital systems and academic medical centers.

Digital Intelligence Systems, LLC (DISYS), a global managed staffing and IT services firm based in McLean, Virginia, agreed to acquire the assets and business of Xtreme Consulting Group, a Kirkland, Washington–based talent and IT solutions provider. The acquisition (expected to close by May 11, 2018) adds technical test administration and an online training platform to DISYS’s capabilities, brings roughly 50 new clients and over 550 employees, and expands DISYS’s national coverage and service offerings.

Bullhorn has acquired Talent Rover and Jobscience, two Salesforce-powered providers of recruitment software, to expand its Salesforce offering and accelerate front- and middle-office capabilities for enterprise staffing and recruiting firms. The acquisitions build on Bullhorn's earlier Connexys deal and are intended to broaden Bullhorn's choice of Salesforce-based solutions for global customers.

ULG Companies, a privately owned national industrial staffing firm headquartered in Logansport, Indiana, has acquired Indianapolis-based STAFFWORKS Employment Solutions. Calder Capital served as the exclusive M&A advisor on the sale; the acquisition expands ULG's geographic reach and product scope in the Indiana industrial labor market.

Technosoft Corp., a Southfield, Michigan-based IT digital transformation and staffing provider, has acquired Rumba Solutions, LLC, an IT services and staffing firm based in Farmington Hills, Michigan. The acquisition strengthens Technosoft’s ability to deliver in-demand IT skills (including Salesforce and data science) and brings Rumba’s employees and customer relationships into Technosoft’s enterprise delivery organization.

America's Back Office (ABO), a Sterling Heights, Michigan-based professional employer organization, has acquired Employees Only, Inc., an HR outsourcing and PEO firm based in Rochester, Michigan. Brown Gibbons Lang & Company served as exclusive financial advisor to Employees Only; terms were not disclosed — the deal creates one of the largest PEOs based in Michigan through an in-market consolidation of capabilities and client bases.

Seeman Holtz Property & Casualty, Inc. has acquired Xponent Employer Solutions, a Scottsdale-based provider of payroll, employee benefits, insurance services and HR management. The acquisition expands Seeman Holtz’s geographic footprint into Arizona and adds HR/payroll capabilities to its family of companies.

Tradesmen International, a portfolio company of private equity funds managed by Blackstone Capital Partners, acquired Construction Labor Contractors (CLC) from Silver Oak Services Partners. CLC, headquartered in Richfield, Ohio, is a temporary staffing provider for skilled trades in the commercial construction market, operating 19 locations and serving clients nationwide; the deal is an add-on to Tradesmen’s platform to expand geographic coverage and capabilities.
